• 4.1 This Purchase Order constitutes a binding agreement between the NHS London Ambulance Service Authority (hereinafter "the Buyer") and Thames Valley Paramedic Solutions Ltd (hereinafter "the Supplier") for the provision of Paramedic services within the United Kingdom London metropolitan area.
• 4.2 All Paramedic personnel deployed under this Purchase Order must maintain valid HCPC registration throughout the contract period. The Supplier shall notify the Buyer in writing within 48 hours of any lapsed or suspended registration.
• 4.3 The Supplier shall ensure that all Paramedic staff are covered by adequate professional indemnity insurance with a minimum limit of £5,000,000 per claim, as required for healthcare practitioners operating in United Kingdom London.
• 4.4 Payment terms: Net 30 days from receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-LON-2025-04872) and be submitted to the accounts payable department at the address stated above.
• 4.5 The Buyer reserves the right to audit the Supplier's records, Paramedic competency files, and training documentation at reasonable notice, in accordance with NHS procurement governance standards applicable to United Kingdom London operations.
• 4.6 Any variation to the scope of Paramedic services, staffing levels, or deployment zones within United Kingdom London must be agreed in writing via a formal Purchase Order amendment prior to implementation.
• 4.7 The Supplier shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 when handling patient information collected by Paramedic staff during emergency responses in United Kingdom London.
• 4.8 Termination: Either party may terminate this Purchase Order with 90 days' written notice. The Buyer may terminate immediately for material breach, including but not limited to the deployment of unregistered or unqualified Paramedic personnel.
• 4.9 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
• 4.10 The Supplier warrants that all Paramedic personnel shall adhere to the NHS Code of Conduct, the HCPC Standards of Conduct, Performance and Ethics, and all local operational protocols established by the NHS London Ambulance Service Authority.

Paramedic services under this Purchase Order shall commence on 01 September 2025. The Supplier shall ensure that all 36 Paramedic personnel are fully onboarded, medically cleared, and deployed to their assigned United Kingdom London zones no later than 25 August 2025. A joint operational readiness review shall be conducted on 28 August 2025 at the NHS London Ambulance Service Authority headquarters, 100 Great West Road, Brentford, United Kingdom London, TW8 9GA.
