5.1 Payment Terms: Net 45 days from date of invoice. Payment shall be processed via electronic funds transfer (EFT) to the vendor account on file. All invoices must reference this Purchase Order number (PO-CHI-2025-04872) for processing.
5.2 Delivery / Service Commencement: All Paramedic services shall commence no later than August 1, 2025. Equipment deliveries to designated Chicago, United States ambulance bays shall be completed by July 25, 2025.
5.3 Performance Standards: The vendor shall ensure that all Paramedic personnel respond to emergency calls within the Chicago Fire Department (CFD) and Chicago Department of Transportation (CDOT) established response time benchmarks. Average response time for Paramedic units in the United States Chicago service area shall not exceed 8 minutes for urban zones and 12 minutes for suburban zones.
5.4 Compliance: The vendor and all assigned Paramedic personnel shall comply with all applicable United States federal laws, Illinois state statutes, and Chicago municipal ordinances governing emergency medical services, patient privacy (HIPAA), occupational safety (OSHA), and transportation regulations (FMCSA).
5.5 Insurance: The vendor shall maintain, at a minimum, General Liability Insurance of $2,000,000 per occurrence, Professional Liability (Malpractice) Insurance of $5,000,000 per occurrence, and Workers' Compensation Insurance as required by Illinois state law. Certificates of insurance naming the City of Chicago as additional insured shall be provided prior to service commencement.
5.6 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The City of Chicago reserves the right to terminate immediately for material breach, failure to maintain required Paramedic licensing, or violation of patient care standards.
5.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois and the United States of America. Any disputes shall be resolved in the Circuit Court of Cook County, Chicago, Illinois.
5.8 Non-Collusion: The vendor certifies that this Purchase Order was awarded without collusion, fraud, or improper influence, in accordance with the Chicago Procurement Code (2-111 et seq.).
