All Paramedic personnel shall be deployed and fully operational at their assigned Los Angeles, United States, stations no later than August 1, 2025. Medical equipment and technology systems (Items 002 and 004) must be delivered, installed, and tested at the LAFD Central Supply Depot located at 201 N. Spring Street, Los Angeles, California, no later than July 15, 2025. The vendor shall provide a written delivery confirmation and installation certification for each item. Any delays in delivery or deployment shall be subject to a liquidated damages clause of $2,500 per day per affected unit, as stipulated in this Purchase Order.

  1. Compliance: The vendor and all Paramedic personnel shall comply with all applicable federal, state, and local laws of the United States, the State of California, and the City of Los Angeles, including but not limited to the Americans with Disabilities Act (ADA), California Labor Code, and Los Angeles Municipal Code provisions governing emergency medical services.
  2. Licensing and Certification: Every Paramedic assigned under this Purchase Order must maintain an active California Paramedic license, current BLS and ACLS certifications, and a valid driver's license with a clean record. Proof of licensure shall be submitted to the LAFD Procurement Division prior to deployment.
  3. Payment Terms: Net 45 days from receipt of a valid invoice. Invoices must reference this Purchase Order number (LA-PM-2025-04872) and include a detailed itemization of services rendered. Payment shall be made via electronic funds transfer (EFT) to the vendor's designated account.
  4. Insurance: The vendor shall maintain general liability insurance of no less than $5,000,000 per occurrence, professional liability (malpractice) insurance of no less than $2,000,000 per claim, and workers' compensation insurance as required by California law. Certificates of insurance shall be provided prior to the commencement of services.
  5. Termination: Either party may terminate this Purchase Order with 60 days' written notice. The City of Los Angeles reserves the right to terminate for cause with 15 days' notice in the event of material breach, failure to maintain required Paramedic licensure, or violation of any applicable regulation in the United States.
  6. Confidentiality: All patient information, operational data, and proprietary information exchanged under this Purchase Order shall be treated as confidential in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and California Confidentiality of Medical Information Act (CMIA).
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California and the federal laws of the United States. Any disputes shall be resolved in the Superior Court of Los Angeles County, California.
  8. Anti-Discrimination: The vendor shall ensure that all Paramedic personnel are recruited, trained, and deployed in a manner that is free from discrimination based on race, color, religion, sex, national origin, disability, age, or any other protected characteristic under the laws of the United States and the State of California.
