Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between the Miami-Dade County Emergency Medical Services Division and Gulf Coast Paramedic Solutions, LLC for the provision of Paramedic services, equipment, and training as specified herein. All services shall be rendered within the United States Miami metropolitan area and its surrounding jurisdictions.
  2. All Paramedic personnel deployed under this Purchase Order must hold a current, unexpired Florida Paramedic license issued by the Florida Board of Paramedic Examiners. The vendor shall provide proof of licensure, insurance, and background clearance for each Paramedic prior to the first day of service.
  3. The vendor shall maintain a minimum of $5,000,000 in general liability insurance and $2,000,000 in professional liability (malpractice) insurance covering all Paramedic activities conducted in United States Miami. Certificates of insurance shall be provided to the Buyer upon request.
  4. Payment shall be processed within forty-five (45) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-MIA-2025-04872) and include itemized breakdowns by line item. Late payments shall accrue interest at a rate of 1.5% per month as permitted under Florida Statute Chapter 213.
  5. Service levels: Paramedic response times within United States Miami city limits shall not exceed eight (8) minutes from dispatch to on-scene arrival for 95% of all calls. Failure to meet this standard for two consecutive months shall trigger a formal performance review and potential contract modification.
  6. All Paramedic training conducted under this Purchase Order shall be delivered at the designated United States Miami Training Center or at an alternative facility approved in writing by the Buyer. Training materials, certifications, and completion records shall be maintained for a minimum of seven (7) years.
  7. The vendor shall comply with all applicable federal, state, and local regulations governing Paramedic practice in the State of Florida, including but not limited to Florida Statutes Chapter 456, Part III, and all protocols established by the Florida Department of Health.
  8. This Purchase Order may be terminated by either party with thirty (30) days written notice. In the event of termination for convenience, the Buyer shall compensate the vendor for all Paramedic services rendered and non-cancellable equipment purchases through the termination date.
  9. All disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Miami, Florida, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
  10. This Purchase Order is governed by the laws of the State of Florida and the United States of America. No modification, amendment, or waiver of any provision herein shall be effective unless made in writing and signed by authorized representatives of both parties.
