This Purchase Order is issued by Sahara Energy & Resources S.A.R.L. to Atlas Petroleum Consulting Group for the engagement of a qualified Petroleum Engineer to provide specialized technical services in support of the ongoing hydrocarbon exploration and production operations located in and around Algeria Algiers and the surrounding Wilaya of Algiers. The Petroleum Engineer shall be responsible for reservoir characterization, well performance analysis, production optimization, and the preparation of technical reports in compliance with the Algerian Hydrocarbons Code (Law No. 19-13) and the regulatory requirements of the Algerian National Petroleum Company (Sonatrach) and the Ministry of Energy and Mines.

- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice by the Purchasing Entity. All payments shall be processed in Algerian Dinars (DZD) via bank transfer to the account specified in Section 2. This Purchase Order is governed by the Algerian Commercial Code and applicable tax regulations in force in Algeria Algiers.
- Commencement & Duration: The services of the Petroleum Engineer shall commence on 01 July 2025 and shall continue for a period of six (6) months, subject to satisfactory performance reviews conducted monthly by the Procurement Director in Algeria Algiers.
- Deliverables: The Petroleum Engineer shall submit all technical reports, reservoir models, and analytical documents in both Arabic and French, in accordance with the documentation standards required by the Algerian Ministry of Energy and Mines for operations conducted in Algeria Algiers and its surrounding regions.
- Confidentiality: All data, reservoir parameters, well logs, and proprietary information accessed by the Petroleum Engineer during the course of this Purchase Order shall be treated as strictly confidential. No information pertaining to the Algeria Algiers operations shall be disclosed to any third party without prior written consent from Sahara Energy & Resources S.A.R.L.
- Compliance: The Petroleum Engineer shall comply with all applicable laws and regulations of the Republic of Algeria, including but not limited to the Hydrocarbons Code, labor laws, HSE regulations, and environmental protection statutes applicable to petroleum operations in Algeria Algiers.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Petroleum Engineer shall deliver all completed work products and hand over all project files to the Purchasing Entity within Algeria Algiers.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial courts of Algeria Algiers.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Algeria Algiers region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Petroleum Engineer in support of petroleum operations in Algeria Algiers. This document constitutes a binding commercial agreement between the parties as of the date of the last signature.
