OF SERVICES – PETROLEUM ENGINEER PROCUREMENTThis Purchase Order is issued by Andes Energy Solutions S.A. to formally request and authorize the procurement of specialized professional services rendered by a qualified Petroleum Engineer to be deployed and executed within the jurisdiction of Argentina Buenos Aires. The Petroleum Engineer engaged under this Purchase Order shall hold a minimum of a Bachelor's degree in Petroleum Engineering (Ingeniería en Petróleo) from a recognized Argentine university or an equivalent foreign institution accredited by the Argentine Ministry of Education. The professional must possess a valid registration with the Argentine Chamber of Engineers (Cámara Argentina de Ingenieros) and demonstrate a minimum of eight (8) years of progressive experience in reservoir engineering, well completion design, production optimization, and hydraulic fracturing operations relevant to unconventional shale resources.

4.1 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, specifically the Argentine Civil and Commercial Code (Código Civil y Comercial de la Nación) and the Hydrocarbons Law No. 27,346. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of Argentina Buenos Aires, Capital Federal.
4.2 Payment Terms: Payment for services rendered under this Purchase Order shall be made in Argentine Pesos (ARS) via electronic bank transfer (transferencia bancaria) to the account designated by PetroTech Consulting Group S.R.L. Invoices shall be submitted monthly, and payment shall be due within thirty (30) calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate established by the Argentine Central Bank (Banco Central de la República Argentina) for commercial operations.
4.3 Commencement and Delivery: The Petroleum Engineer shall commence services no later than July 1, 2025, at the Buyer's designated operational site in Argentina Buenos Aires. All deliverables, including technical reports, reservoir models, and completion designs, shall be submitted in both Spanish and English, in electronic format (PDF and editable source files), to the Buyer's project management office.
4.4 Professional Standards and Liability: The Petroleum Engineer shall perform all services in strict accordance with the professional standards established by the Argentine Chamber of Engineers and the technical norms of the Argentine Association of Petroleum Engineers (AAPG). The Seller shall maintain professional liability insurance (seguro de responsabilidad profesional) with a minimum coverage of ARS 50,000,000 for the duration of this Purchase Order.
4.5 Confidentiality: All technical data, reservoir information, well logs, production figures, and proprietary operational details shared in connection with this Purchase Order shall be treated as strictly confidential. The Petroleum Engineer shall not disclose, publish, or disseminate any such information to third parties without the prior written consent of the Buyer, in compliance with Argentine data protection law (Ley 25,326).
4.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' prior written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the effective date of termination. The Seller shall return all proprietary documents and data belonging to the Buyer within fifteen (15) days of termination.
4.7 Tax Compliance: The Seller shall comply with all applicable federal, provincial, and municipal tax obligations in Argentina Buenos Aires, including but not limited to IVA (Value Added Tax), Ganancias (Income Tax), and IIBB (Ingresos Brutos). The Seller shall provide a valid CUIT registration and all required tax documentation with each invoice.
4.8 Health, Safety, and Environment (HSE): The Petroleum Engineer shall comply with all HSE regulations applicable to petroleum operations in Argentina Buenos Aires, including those issued by the Ministry of Environment and Sustainable Development and the local Buenos Aires City environmental authority (Secretaría de Ambiente y Espacio Público).
