This Purchase Order is issued to formally engage the services of a qualified Petroleum Engineer to support the Buyer's pre-salt exploration and production operations located in the Brazil Rio de Janeiro metropolitan area and offshore platforms in the Santos Basin. The Petroleum Engineer shall provide full-time technical consultancy, reservoir modeling, well optimization analysis, and production forecasting for a period of twelve (12) months, commencing on 01 August 2025.
The scope of work for the Petroleum Engineer includes, but is not limited to: (a) development and maintenance of numerical reservoir simulation models for three (3) active fields; (b) monthly production performance reviews and decline curve analysis; (c) design and evaluation of water injection strategies; (d) technical support for well workover and completion optimization; (e) preparation of engineering reports for regulatory submission to ANP (Agência Nacional do Petróleo, Gás Natural e Biocombustíveis); and (f) on-site inspections at the Buyer's facilities in Brazil Rio de Janeiro no fewer than two (2) times per month.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brazil Rio de Janeiro, State of Rio de Janeiro.
- Commencement and Duration: Services shall commence on 01 August 2025 and continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 8. The Petroleum Engineer shall be available on a full-time basis (40 hours per week) during the contract period.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day for services rendered in the preceding month. Payment shall be made within forty-five (45) calendar days of invoice receipt via bank transfer to the account specified by the Supplier. All amounts are denominated in Brazilian Reais (BRL) and are subject to applicable Brazilian tax withholdings (IRRF, INSS, ISS).
- Confidentiality: The Petroleum Engineer shall treat all technical data, reservoir information, production figures, and proprietary documents as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Supplier and the Petroleum Engineer shall comply with all applicable Brazilian federal and state regulations, including those issued by ANP, IBAMA, and the Ministry of Mines and Energy. All work performed in Brazil Rio de Janeiro and offshore locations shall adhere to the Buyer's HSE (Health, Safety, and Environment) standards.
- Intellectual Property: All reports, models, analyses, and deliverables produced under this Purchase Order shall be the exclusive property of the Buyer. The Petroleum Engineer grants the Buyer a perpetual, irrevocable license to use, modify, and reproduce all deliverables.
- Insurance: The Supplier shall maintain professional liability insurance with a minimum coverage of R$ 5,000,000.00 and workers' compensation insurance in compliance with Brazilian labor law (CLT) for the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics, provided that written notice is given within five (5) business days of the event.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be submitted to arbitration under the rules of CAM-CCBC (Câmara de Arbitragem do Mercado) in Brazil Rio de Janeiro.
