Terms and Conditions
- This Purchase Order is issued in accordance with Brazilian Federal Law No. 14,133/2021 (Public Procurement Law) and applicable state regulations governing the city of Brazil São Paulo. All services shall be rendered in full compliance with ANP (Agência Nacional do Petróleo) regulations.
- The vendor shall ensure that all Petroleum Engineer personnel engaged under this Purchase Order hold valid professional registration with the CREA-SP (Conselho Regional de Engenharia e Agronomia – São Paulo) and possess the minimum qualifications specified in the line items above.
- Work performance shall be evaluated monthly by the Buyer's technical committee based in Brazil São Paulo. Failure to meet agreed KPIs for two consecutive months shall entitle the Buyer to terminate this Purchase Order with 30 days' written notice.
- All intellectual property, reservoir models, well data, and technical reports generated by the Petroleum Engineer team under this Purchase Order shall be the exclusive property of the Buyer. The vendor shall execute a non-disclosure agreement (NDA) prior to commencement of services.
- The vendor is responsible for all labor obligations, social security contributions (INSS), and occupational health and safety compliance (NR-22, NR-35) for the Petroleum Engineer personnel, in accordance with Brazilian labor law (CLT) and regulations applicable in Brazil São Paulo.
- Payment shall be processed via bank transfer to the account specified above. Invoices must be submitted by the 5th business day of the following month and must reference this Purchase Order number (BR-SP-PE-2025-004782).
- Any modification to the scope, personnel, or duration of this Purchase Order requires a formal written amendment signed by both parties. Verbal agreements are not binding.
- In the event of dispute, the parties agree to submit to the jurisdiction of the courts of the city of Brazil São Paulo, State of São Paulo, Brazil, or to arbitration under the rules of CAMARB (Câmara de Arbitragem do Mercado).
- This Purchase Order is valid for a period of 12 months from the Required Start Date and may be renewed for successive 12-month periods upon mutual written agreement, subject to budgetary approval by the Buyer's Brazil São Paulo headquarters.
- The vendor shall maintain professional liability insurance with a minimum coverage of R$ 5,000,000.00 for the duration of this Purchase Order, naming the Buyer as additional insured.
