Description of Services – Petroleum Engineer Engagement

This Purchase Order is issued by TransCanada Energy Solutions Inc. to formally authorize and request the professional services of a qualified Petroleum Engineer to be deployed and rendered within the Canada Montreal metropolitan area and its surrounding geological survey zones. The engagement is structured to support the buyer's ongoing subsurface resource assessment, reservoir modeling, and well-optimization programs conducted in partnership with provincial energy authorities in Quebec.

The Petroleum Engineer engaged under this Purchase Order shall hold a minimum of a Master's degree in Petroleum Engineering from an accredited Canadian university, possess at least ten (10) years of progressive field experience in reservoir characterization, production forecasting, and enhanced oil recovery techniques, and be registered in good standing with the Ordre des ingénieurs du Québec (OIQ). All deliverables and technical reports produced under this engagement shall be prepared in accordance with Canadian petroleum industry standards, including those published by the Canadian Petroleum Association (CPA) and the Canadian Standards Association (CSA).

Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All services described herein shall be performed by a credentialed Petroleum Engineer or a team led by one, operating primarily from the Canada Montreal headquarters of the Seller.
  2. The Petroleum Engineer shall comply with all applicable federal and provincial regulations governing petroleum operations in Canada, including the Canada Energy Regulator (CER) guidelines and the Quebec Ministry of Energy and Resources (MRE) environmental and safety mandates specific to the Canada Montreal region.
  3. Payment terms: Net 45 days from the date of invoice submission. Invoices shall reference this Purchase Order number (PO-2025-CM-PE-04782) and shall itemize hours or deliverables completed by the Petroleum Engineer during the billing period.
  4. All intellectual property, technical reports, reservoir models, and data generated by the Petroleum Engineer in the course of fulfilling this Purchase Order shall remain the exclusive property of TransCanada Energy Solutions Inc. The Seller grants no third-party rights to such materials.
  5. The Petroleum Engineer shall maintain professional liability insurance with a minimum coverage of CAD $5,000,000 per occurrence, valid throughout the duration of this engagement in Canada Montreal and all associated field sites.
  6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Seller for all services rendered by the Petroleum Engineer up to the effective date of termination, plus any non-cancellable commitments.
  7. All disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal, Quebec, in accordance with the Uniform Arbitration Act of Quebec. The governing law of this document is the Civil Code of Quebec and applicable Canadian federal legislation.
  8. The Seller warrants that the Petroleum Engineer assigned to this Purchase Order shall not be engaged in any conflicting petroleum engineering consultancy for a direct competitor of the Buyer within the Canada Montreal energy sector during the term of this agreement.
  9. Force majeure events, including but not limited to natural disasters affecting the Canada Montreal area, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within five (5) business days.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Petroleum Engineer to deliver professional petroleum engineering services in Canada Montreal. This document is executed in two (2) original copies, one for each party.
