- This Purchase Order constitutes a binding agreement between Northlake Energy Solutions Inc. (hereinafter "Buyer") and DeepWell Technical Consulting Group Ltd. (hereinafter "Vendor") for the procurement of Petroleum Engineer professional services as described in the line items above. All work shall be performed in accordance with the standards and regulations applicable in Canada Toronto and the Province of Ontario.
- The Vendor shall assign qualified Petroleum Engineer personnel who hold valid Professional Engineer (P.Eng.) designations from the Professional Engineers Ontario (PEO) body. The lead Petroleum Engineer must possess a minimum of ten (10) years of experience in conventional and unconventional reservoir engineering within Canadian sedimentary basins.
- All deliverables, including technical reports, simulation models, and compliance documentation, shall be submitted in both electronic (PDF and native file formats) and hard-copy form to the Buyer's designated project manager at the Toronto office. The Petroleum Engineer is responsible for ensuring all data is stored in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Ontario privacy legislation.
- Payment shall be made via electronic funds transfer (EFT) to the Vendor's designated Canadian bank account within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-NE-04871) and include the Vendor's HST registration number. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the Ontario Business Corporations Act.
- The Vendor warrants that all Petroleum Engineer services will be performed in a professional, workmanlike manner consistent with the standards of practice established by PEO and the Canadian Standards Association (CSA). Any deficiency in workmanship shall be corrected at no additional cost to the Buyer within fifteen (15) business days of written notice.
- Intellectual property generated specifically for this Purchase Order, including but not limited to reservoir models, well performance analyses, and proprietary data interpretations produced by the Petroleum Engineer, shall become the sole property of Northlake Energy Solutions Inc. upon full payment. The Vendor retains the right to use general methodologies and pre-existing tools.
- This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Toronto, Ontario, Canada, in accordance with the Arbitration Act (Ontario). The parties agree that the exclusive jurisdiction for any court proceedings shall be the courts of Canada Toronto.
- The Vendor shall maintain comprehensive professional liability insurance with a minimum coverage of $5,000,000 CAD per occurrence, naming Northlake Energy Solutions Inc. as an additional insured. Certificates of insurance shall be provided prior to commencement of services.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all Petroleum Engineer services satisfactorily rendered up to the effective date of termination, less any applicable deductions for incomplete deliverables.
- All communications regarding this Purchase Order, including change orders, technical clarifications, and progress reports, shall be directed to the project contacts listed above. Verbal modifications to the scope of Petroleum Engineer services are not valid unless confirmed in writing by both parties.
