The Petroleum Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline, possess at least eight (8) years of progressive professional experience in upstream oil and gas operations, and be registered with the Colegio de Ingenieros de Chile. The candidate must demonstrate proven expertise in reservoir simulation, wellbore integrity assessment, completion design, and production forecasting. All technical deliverables produced by the Petroleum Engineer shall be prepared in accordance with the Chilean mining and hydrocarbons regulatory framework administered by the Comisión Nacional de Energía (CNE) and the Servicio Nacional de Geología y Minería (SERNAGEOMIN).

1. This Purchase Order is governed by the laws of the Republic of Chile. Any disputes arising from the execution of this Purchase Order shall be resolved in the competent courts of Chile Santiago, specifically the Civil Courts of Providencia and Las Condes jurisdictions.
2. The Petroleum Engineer shall report directly to the Director of Technical Operations at the Andes Energy Solutions SpA headquarters in Chile Santiago. A minimum of four (4) on-site days per week at the Chile Santiago office is required, with the remaining time allocated to field visits or remote analysis as directed.
3. Payment terms: Net 30 days from receipt of a valid Factura (invoice) issued in accordance with Chilean tax regulations (SII). Invoices must reference this Purchase Order number (PO-CHL-SGO-2025-04782) and include the supplier's RUT.
4. The Petroleum Engineer shall comply with all occupational health and safety standards established by the Superintendencia de Seguridad Social (SUPERINTENDENCIA DE SEGURIDAD SOCIAL) and the internal HSE protocols of Andes Energy Solutions SpA.
5. All intellectual property, technical reports, simulation models, and data generated by the Petroleum Engineer in the course of this engagement shall be the exclusive property of Andes Energy Solutions SpA upon full payment.
6. GeoTech Petroleum Consulting Ltda. shall maintain professional liability insurance with a minimum coverage of $50,000,000 CLP for the duration of this Purchase Order.
7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Petroleum Engineer's services shall be compensated on a pro-rata basis for the months actually rendered.
8. The Petroleum Engineer is engaged as an independent contractor through GeoTech Petroleum Consulting Ltda. and is not an employee of Andes Energy Solutions SpA. All labor obligations, social security contributions (AFC, health fund), and tax withholdings are the sole responsibility of the supplier.

The Petroleum Engineer shall commence duties no later than 01 July 2025 at the Andes Energy Solutions SpA office located in Chile Santiago. The supplier is required to submit the candidate's full technical dossier, including curriculum vitae, professional registration certificate from the Colegio de Ingenieros de Chile, and a signed confidentiality agreement, no fewer than ten (10) business days prior to the commencement date. Failure to meet this deadline may result in the suspension or cancellation of this Purchase Order at the sole discretion of the Buyer.
