1. Acceptance: This Purchase Order shall become binding upon written acceptance by the service provider. The Petroleum Engineer assigned to this contract must hold a valid professional engineering license recognized by the Ministry of Housing and Urban-Rural Development of the People's Republic of China and possess a minimum of ten (10) years of demonstrated experience in petroleum reservoir engineering.
2. Location and Compliance: All services under this Purchase Order shall be primarily performed at the buyer's premises in China Beijing. The Petroleum Engineer shall comply with all local labor regulations, safety standards, and environmental protocols applicable in China Beijing and the broader People's Republic of China.
3. Payment Schedule: Invoices shall be submitted monthly. Payment for each invoice under this Purchase Order shall be made within thirty (30) calendar days of receipt via bank transfer to the account designated by the service provider. All payments shall be denominated in Chinese Yuan (CNY) and processed through a licensed financial institution in China Beijing.
4. Intellectual Property: All technical reports, models, data analyses, and deliverables produced by the Petroleum Engineer under this Purchase Order shall be the exclusive property of the buyer. 7. Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Beijing Arbitration Commission (BAC) in China Beijing, in accordance with its then-current arbitration rules. The language of arbitration shall be English, with Chinese translations provided as necessary.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government regulatory changes in China Beijing, or public health emergencies, provided that the affected party notifies the other within five (5) business days.
9. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical, financial, and operational information exchanged in the course of executing this Purchase Order. The Petroleum Engineer shall sign a separate Non-Disclosure Agreement (NDA) prior to commencing work in China Beijing.
10. Validity: This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. If not accepted within this period, the Purchase Order shall automatically lapse and may be reissued with revised terms.
