The Petroleum Engineer shall be responsible for reservoir characterization, wellbore integrity assessment, production optimization modeling, and the preparation of technical reports in compliance with the National Energy Administration of the People's Republic of China and all applicable local regulations in Guangdong Province.

- Scope of Work: The Petroleum Engineer engaged under this Purchase Order shall perform all duties in strict accordance with the technical specifications outlined in Appendix A (attached separately). All work shall be conducted at the buyer's premises in China Guangzhou or at designated field sites within a 150-kilometer radius of the Guangzhou municipal boundary.
- Qualifications: The Petroleum Engineer must hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline, possess at least eight (8) years of professional experience in upstream oil and gas operations, and be registered with the China Petroleum Engineering Association. A valid professional practice license issued by the relevant authority in Guangdong Province is mandatory.
- Commencement and Duration: Services shall commence no later than 1 July 2025. The initial engagement period is twelve (12) months, subject to mutual written agreement for renewal. The Purchase Order shall remain valid for acceptance until 14 July 2025.
- Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the supplier's designated account in RMB (CNY). The first installment (33.33%) is due upon execution of this Purchase Order. The second installment (33.33%) is due at the six-month milestone. The final installment (33.34%) is due upon satisfactory completion and acceptance of all deliverables. Late payments shall accrue interest at 0.05% per calendar day.
- Confidentiality: All geological data, reservoir models, well logs, and proprietary information pertaining to the Petroleum Engineer's work in China Guangzhou shall be treated as strictly confidential. The supplier shall execute a Non-Disclosure Agreement (NDA) prior to the commencement of any fieldwork.
- Compliance and Safety: The Petroleum Engineer shall comply with all occupational health and safety regulations enforced by the Ministry of Emergency Management of the PRC and the local safety bureau in Guangzhou. The supplier is responsible for providing all necessary personal protective equipment (PPE) and ensuring the engineer holds a valid safety certification for petroleum field operations.
- Intellectual Property: All reports, models, and technical documentation produced by the Petroleum Engineer under this Purchase Order shall be the exclusive property of Guangzhou PetroEnergy Solutions Co., Ltd. upon full payment.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising from or in connection with this document shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou Sub-Commission, in accordance with its then-current arbitration rules. The seat of arbitration shall be China Guangzhou.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government regulatory changes in the China Guangzhou region, or pandemics, provided that the affected party notifies the other in writing within five (5) business days.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Petroleum Engineer shall deliver all work-in-progress documentation to the buyer, and payment shall be made pro-rata for services rendered up to the termination date.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Petroleum Engineer in China Guangzhou. This document constitutes a binding commercial agreement upon countersignature by both authorized representatives.
