• This Purchase Order constitutes a binding agreement between Andes Energy Solutions S.A.S. and GeoTech Professional Services LLC upon written acceptance by both parties. All services described herein shall be rendered by a certified Petroleum Engineer holding a valid professional license recognized by the Colombian Ministry of Mines and Energy.
• The Petroleum Engineer assigned to this contract must possess a minimum of ten (10) years of professional experience in reservoir engineering, well completion design, and production forecasting, with documented prior work in South American basins.
• All on-site work shall be conducted at the Andes Energy Solutions field office located in Colombia Medellín, Antioquia, and at designated well sites within a 150-kilometer radius of the city. The Petroleum Engineer shall comply with all local labor laws, immigration requirements, and work permit regulations applicable in Colombia Medellín.
• Payment shall be processed within thirty (30) calendar days from the date of invoice receipt. Invoices must reference this Purchase Order number (PO-2025-COL-MDE-0047) and include a detailed timesheet signed by the project supervisor in Colombia Medellín.
• GeoTech Professional Services LLC shall provide a comprehensive insurance certificate covering the Petroleum Engineer for personal injury, professional liability, and third-party damage, valid for the entire duration of the assignment in Colombia Medellín.
• All technical data, reservoir models, and proprietary information generated under this Purchase Order shall remain the exclusive property of Andes Energy Solutions S.A.S. The Petroleum Engineer is bound by a non-disclosure agreement (NDA) for a period of five (5) years following contract completion.
• Any modification, extension, or cancellation of this Purchase Order must be documented in writing and signed by authorized representatives of both parties. Verbal agreements regarding scope changes for the Petroleum Engineer engagement are not valid.
• This Purchase Order is governed by the commercial laws of the Republic of Colombia. Any disputes arising from the interpretation or execution of this document shall be resolved through arbitration in Colombia Medellín in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Medellín.

By signing below, both parties acknowledge and accept all terms, conditions, and scope of work outlined in this Purchase Order for the engagement of the Petroleum Engineer in Colombia Medellín. This document is valid for a period of ninety (90) days from the date of issue, after which it shall be considered expired unless renewed in writing.
