1. This Purchase Order constitutes a binding agreement between Atlantique Energy Solutions SAS and GeoTech Professional Services Ltd. upon countersignature by both parties. All terms are governed by the laws of the French Republic, with jurisdiction vested in the Commercial Court of Lyon, France.
2. The Petroleum Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline, possess at least eight (8) years of progressive experience in hydrocarbon exploration and production, and maintain valid professional registration with the French Ordre des Génies Civils, Géomines et Géologues (G2C).
3. All services shall be performed at the designated project sites within the France Lyon metropolitan area, including but not limited to the industrial zones of Villeurbanne, Oullins, and the Rhone Valley corridor. The Petroleum Engineer shall report to the project director at the Atlantique Energy Solutions headquarters located at 42 Boulevard de la Croix-Rousse, 69004 Lyon.
4. Payment terms: Net 45 days from the date of invoice receipt. Invoices shall be submitted monthly in EUR. Late payments shall accrue interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10).
5. The Petroleum Engineer shall comply with all applicable French occupational health and safety regulations, including those issued by the Direction Régionale de l'Environnement, de l'Aménagement et du Logement (DREAL Auvergne-Rhône-Alpes) and the European Union's Pressure Equipment Directive (PED 2014/68/EU).
6. Confidentiality: All geological data, reservoir models, production figures, and proprietary information accessed by the Petroleum Engineer during the course of this engagement in France Lyon shall be treated as strictly confidential. A separate Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Petroleum Engineer shall complete all in-progress deliverables and submit a final technical report within fifteen (15) business days.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or industrial action affecting the France Lyon region.
9. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within sixty (60) days, the matter shall be referred to arbitration under the rules of the CCI Lyon (Chambre de Commerce et d'Industrie de Lyon).
