This Purchase Order is issued by Méditerranée Hydrocarbons S.A. to formally engage the services of a qualified Petroleum Engineer for the duration of the contract period specified herein. The Petroleum Engineer shall be deployed to the operational facilities located in France Marseille, specifically within the Port of Marseille-Fos industrial complex and the associated offshore support terminals along the Mediterranean coastline. All professional activities, site inspections, reservoir modeling sessions, and technical reporting shall be conducted in and around the France Marseille metropolitan area unless otherwise directed in writing by the Buyer's project management team.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Marseille, France Marseille, unless otherwise agreed in writing by both parties.
- Commencement and Duration: The services of the Petroleum Engineer shall commence on 1 July 2025 and shall continue for a period of four (4) calendar months, concluding on 30 October 2025, unless extended by mutual written agreement. All work shall be performed at the Buyer's designated facility in France Marseille or at such other locations within the France Marseille metropolitan area as may be reasonably required.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Seller. Invoices shall reference this Purchase Order number (PO-FRM-2025-04872) and shall be submitted to the Buyer's accounts payable department at the France Marseille headquarters. Payment shall be made via SEPA bank transfer to the account designated by the Seller.
- Qualification Requirements: The Petroleum Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline, possess valid professional registration with the French Ordre des Génies Civils, and demonstrate a minimum of twelve (12) years of progressive experience in reservoir engineering, well optimization, and production management. The Seller warrants that the Petroleum Engineer assigned to this Purchase Order meets all stated qualifications prior to commencement of work in France Marseille.
- Health, Safety, and Environment (HSE): The Petroleum Engineer shall comply with all applicable French occupational health and safety regulations, including those enforced by the Direction Régionale de l'Environnement, de l'Aménagement et du Logement (DREAL) Provence-Alpes-Côte d'Azur. The Petroleum Engineer must complete the Buyer's site-specific HSE induction at the France Marseille facility before commencing any operational duties.
- Confidentiality and Intellectual Property: All data, models, reports, and technical information generated by the Petroleum Engineer in the course of performing services under this Purchase Order shall be the exclusive property of the Buyer. The Petroleum Engineer and the Seller shall maintain strict confidentiality regarding all proprietary information pertaining to the Buyer's subsurface assets in the France Marseille region. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of termination, the Seller shall be compensated for all services rendered by the Petroleum Engineer up to the effective date of termination, as well as any non-cancellable expenses incurred in France Marseille.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the France Marseille coastal region, government-imposed operational restrictions, or pandemics, provided that the affected party notifies the other in writing within five (5) business days.
- Compliance with French Labor and Procurement Law: The Seller acknowledges that the engagement of the Petroleum Engineer under this Purchase Order is subject to all applicable French labor codes, social security obligations, and public procurement regulations where applicable. The Seller shall ensure full compliance with the Code du Travail and all relevant decrees governing the provision of professional engineering services in France Marseille.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Buyer authorizes the Seller to deploy the qualified Petroleum Engineer to the France Marseille operational site in accordance with the scope, timeline, and deliverables outlined in Section 4 of this document.
