Description of Services — Petroleum Engineer EngagementThis Purchase Order is issued by Énergie Souterraine SA for the professional engagement of a qualified Petroleum Engineer to provide comprehensive subsurface analysis, reservoir modelling, and well-optimisation services. All services under this Purchase Order shall be performed at the buyer's operational headquarters and associated field sites located in France Paris and its metropolitan region. The Petroleum Engineer shall comply with all applicable French regulatory standards, including those governed by the Direction Générale de l'Aviation Civile (DGAC) and the Autorité de Sûreté Nucléaire (ASN) where relevant to subsurface operations.

- Scope of Work: The Petroleum Engineer engaged under this Purchase Order shall deliver all services in accordance with the technical specifications outlined in Annex A (attached separately). All deliverables must be submitted to the buyer's project management office located in France Paris no later than the deadlines specified in the project schedule.
- Place of Performance: All services shall be rendered at the buyer's premises in France Paris (75017) or at such other locations within the Île-de-France region as mutually agreed in writing. The Petroleum Engineer shall bear responsibility for local travel within the France Paris metropolitan area as covered under Line Item 06.
- Payment: Invoices shall be submitted monthly in arrears. Payment shall be made via SEPA bank transfer within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10).
- Confidentiality: The Petroleum Engineer and all associated personnel shall maintain strict confidentiality regarding all subsurface data, reservoir parameters, and proprietary information of Énergie Souterraine SA. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
- Compliance with French Law: The Petroleum Engineer shall comply with all applicable French labour regulations, health and safety standards (Code du travail), and environmental legislation. The supplier shall ensure that the Petroleum Engineer holds all necessary professional certifications recognised in France, including but not limited to the title of Ingénieur diplômé from a recognised Grande École or equivalent qualification.
- Intellectual Property: All work product, models, reports, and analyses created by the Petroleum Engineer in the course of performing services under this Purchase Order shall be the exclusive property of Énergie Souterraine SA upon full payment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising hereunder shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in France Paris.
