This Purchase Order is issued by Subsurface Energy Solutions Pvt. - Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice from the supplier. A 10% advance against this Purchase Order shall be disbursed within 7 working days of mutual execution. The remaining balance shall be released in milestone-based installments as per Section 5.
- Place of Performance: All primary engineering work, reporting, and coordination meetings shall be conducted at the project office in India New Delhi. Offshore site visits shall be scheduled as per the operational calendar approved by the Buyer.
- Qualification Requirement: The assigned Petroleum Engineer must hold a minimum of 10 years of post-qualification experience in reservoir engineering, possess a Master's degree or higher in Petroleum Engineering from an AICTE-recognized Indian institution or an equivalent international university, and be a registered member of the Indian Institute of Petroleum (IIP) or the Society of Petroleum Engineers (SPE).
- Confidentiality: All subsurface data, well logs, seismic interpretations, and production figures shared under this Purchase Order are classified as proprietary. The Petroleum Engineer and all associated personnel shall execute a Non-Disclosure Agreement (NDA) prior to commencing work. Breach of confidentiality shall attract liquidated damages of INR 50,00,000 per incident.
- Compliance: The supplier shall ensure full compliance with the Petroleum and Natural Gas Rules, 2016, the Environmental Protection Act, 1986, and all applicable regulations of the Directorate General of Hydrocarbons, Government of India, as enforced in India New Delhi and across Indian territorial waters.
- Intellectual Property: All reports, models, simulations, and technical deliverables produced under this Purchase Order shall be the exclusive property of Subsurface Energy Solutions Pvt. Ltd. The Petroleum Engineer shall assign all intellectual property rights upon delivery.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered up to the termination date plus a 5% completion premium on the remaining contract value.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in India New Delhi.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government sanctions, pandemics, or other events beyond reasonable control, provided written notice is given within 48 hours of the event.
- Anti-Bribery & Ethics: The supplier warrants that no part of the consideration under this Purchase Order shall be used for any corrupt or illegal purpose in accordance with the Prevention of Corruption Act, 1988.
This Purchase Order becomes effective upon countersignature by both parties. The supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, scope of work, and pricing outlined herein. No modification to this Purchase Order shall be valid unless executed in writing by both authorized signatories.
