This Purchase Order is issued by PT Nusantara Energy Resources Tbk. (hereinafter referred to as the "Buyer") to PT GeoTech Petroleum Solutions (hereinafter referred to as the "Supplier") for the engagement of qualified Petroleum Engineer professional services in support of the Buyer's upstream hydrocarbon exploration and production activities located in and around Indonesia Jakarta and the surrounding West Java Basin. This Purchase Order governs the scope of work, deliverables, compensation, and all associated terms for the provision of petroleum engineering expertise required to optimize reservoir performance, well integrity, and production forecasting for the Buyer's licensed operating areas.
The Petroleum Engineer services under this Purchase Order shall encompass reservoir simulation, well completion design, production optimization, decline curve analysis, enhanced oil recovery (EOR) feasibility studies, and technical due diligence support. All work shall be conducted in compliance with the regulations of the Ministry of Energy and Mineral Resources (ESDM) of the Republic of Indonesia, the Indonesia Upstream Petroleum Business Regulatory Agency (SKK Migas), and applicable international petroleum engineering standards including SPE, IPE, and API guidelines.

3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. The Supplier shall assign qualified Petroleum Engineer personnel who hold valid professional certifications recognized by the Indonesian government and relevant international petroleum engineering bodies.
3.2 All Petroleum Engineer deliverables, including but not limited to reservoir models, well design documents, EOR reports, and production forecasts, shall be submitted to the Buyer's project management office located in Indonesia Jakarta no later than the deadlines specified in the attached Statement of Work (SOW) annexed to this Purchase Order.
3.3 The Supplier warrants that all Petroleum Engineer services shall be performed in a professional, competent, and workmanlike manner in accordance with industry best practices and all applicable laws of the Republic of Indonesia, including but not limited to the Oil and Gas Law (UU No. 22 Tahun 2001) and its implementing regulations.
3.4 Payment shall be made via bank transfer to the Supplier's designated account in Indonesia Jakarta within thirty (30) calendar days of the Buyer's written acceptance of the corresponding invoice and verified deliverables. Late payments shall accrue interest at the rate of 1.5% per month.
3.5 The Supplier shall maintain full professional liability insurance and workers' compensation coverage for all Petroleum Engineer personnel assigned to this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to commencement of work.
3.6 All data, geological information, reservoir parameters, and proprietary documents shared by the Buyer with the Petroleum Engineer team are classified as confidential. The Supplier shall execute a separate Non-Disclosure Agreement (NDA) prior to the commencement of any work under this Purchase Order.
3.7 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance milestones, or insolvency of the Supplier. Upon termination, the Supplier shall be compensated only for services rendered and verified up to the date of termination.
3.8 Any disputes arising from this Purchase Order shall be resolved through arbitration in Jakarta, Indonesia, in accordance with the rules of the Badan Arbitrase Nasional Indonesia (BANI). The governing law shall be the laws of the Republic of Indonesia.
NOTE: This Purchase Order is specific to the engagement of Petroleum Engineer services for the Indonesia Jakarta operational region. Any extension of scope, additional personnel, or relocation of work to other regions within Indonesia shall require a formal amendment to this Purchase Order, executed in writing by both parties. The Supplier shall ensure that all Petroleum Engineer staff assigned to Indonesia Jakarta sites comply with local labor regulations, work permit requirements, and health & safety protocols mandated by SKK Migas and the Ministry of Manpower.
