This Purchase Order is issued by Caspian Energy & Drilling Solutions Co., Ltd., headquartered in Iran Tehran, to formally engage the services of a qualified Petroleum Engineer for the duration of the Reservoir Optimization Program. The Petroleum Engineer shall provide comprehensive technical consulting, reservoir modeling, well performance analysis, and production optimization services specifically tailored to the operational requirements of our drilling and extraction sites located within the Iran Tehran metropolitan region and its surrounding geological formations. This Purchase Order constitutes a binding agreement between the purchasing entity and the designated Petroleum Engineer for all services rendered under the terms and conditions outlined herein.

- This Purchase Order shall be governed by and interpreted in accordance with the commercial laws of the Islamic Republic of Iran. All disputes arising from this Purchase Order shall be resolved through arbitration in Iran Tehran under the rules of the Iran Chamber of Commerce.
- The Petroleum Engineer shall maintain all professional licenses, certifications, and insurance coverage required by the National Iranian Oil Company (NIOC) and the Ministry of Petroleum for the duration of this engagement in Iran Tehran.
- All deliverables, reports, models, and technical documentation produced by the Petroleum Engineer under this Purchase Order shall become the exclusive property of Caspian Energy & Drilling Solutions Co., Ltd. upon full payment.
- The Petroleum Engineer shall comply with all environmental, health, and safety regulations applicable to petroleum operations in Iran Tehran, including but not limited to the standards set forth by the Department of Environment of Iran.
- Payment shall be processed in installments: 30% upon execution of this Purchase Order, 40% upon completion of the reservoir modeling deliverable (Item 001), and 30% upon final acceptance of all services. All payments shall be made via bank transfer to the account designated by the Petroleum Engineer.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Petroleum Engineer shall be compensated for all services rendered up to the termination date, and all work-in-progress deliverables shall be handed over to the purchasing entity.
- The Petroleum Engineer shall not subcontract any portion of the services described in this Purchase Order without prior written consent from the Procurement Manager of Caspian Energy & Drilling Solutions Co., Ltd. in Iran Tehran.
- All communications, reports, and technical correspondence related to this Purchase Order shall be conducted in English, with official submissions to regulatory bodies in Iran Tehran provided in both English and Persian (Farsi).
- This Purchase Order is valid for a period of six (6) months from the date of issue. Any extension beyond this period shall require a written amendment signed by both parties.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order. The Petroleum Engineer confirms availability to commence services at the designated Iran Tehran operational sites no later than the required delivery date stated above. This Purchase Order represents the complete and final agreement between the parties regarding the engagement of the Petroleum Engineer for the Reservoir Optimization Program.
