This Purchase Order is issued by MedEast Energy Solutions Ltd. (hereinafter referred to as the "Buyer") to DeepWell Petroleum Consulting Group Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Petroleum Engineer to provide comprehensive subsurface evaluation, reservoir modeling, and production optimization services. The Petroleum Engineer shall be assigned to the Buyer's offshore exploration and production operations in the Leviathan and Tamar gas fields, located in the Israeli Exclusive Economic Zone, with primary coordination and reporting conducted from the Buyer's headquarters in Israel Tel Aviv.
The Petroleum Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Petroleum Engineering from an accredited institution, possess at least ten (10) years of progressive experience in hydrocarbon reservoir management, and be registered with the Israel Engineers Association (Rishon Le'Ingenieurs). The Petroleum Engineer shall report directly to the Buyer's Chief Technical Officer and shall be physically present at the Tel Aviv office no fewer than three (3) days per week, with the remaining days allocated to field-site inspections and offshore platform visits as directed.

All payments under this Purchase Order shall be made in New Israeli Shekels (ILS) via bank transfer to the Supplier's designated account. The Buyer shall remit payment within thirty (30) calendar days from the date of receipt of a valid tax invoice (Chov Shitach) issued by the Supplier. For the monthly retainer (Item 01), invoices shall be submitted on the first business day of each month for the preceding service period. For one-time deliverables (Items 02, 04, and 06), payment shall be due upon written acceptance of the deliverable by the Buyer's Chief Technical Officer. Late payments shall accrue interest at the rate prescribed by the Israeli Late Payment Law (Chok HaRishui Al Toldot Achariut), currently 1.5% per month.

6.1 This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Israel. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv-Yafo, Israel.
6.2 The Petroleum Engineer engaged under this Purchase Order shall comply with all applicable regulations of the Israel Energy, Water and National Infrastructure Ministry, the Israel Occupational Safety and Health Authority, and all environmental standards set forth by the Israel Nature and Parks Authority for offshore operations.
6.3 The Supplier warrants that the Petroleum Engineer shall maintain all professional liability insurance with a minimum coverage of ILS 5,000,000 per occurrence and shall provide a certificate of insurance to the Buyer prior to commencing work.
6.4 All data, models, reports, and intellectual property generated by the Petroleum Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of the Buyer. The Supplier and the Petroleum Engineer shall execute a non-disclosure agreement (NDA) in accordance with the Israeli Privacy Protection Law, 5741-1981, prior to accessing any confidential operational data.
6.5 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the Supplier, including but not limited to failure to meet performance milestones, loss of professional registration, or violation of Israeli regulatory requirements.
6.6 Force majeure events, including but not limited to acts of war, terrorism, or government-imposed restrictions affecting operations in Israel Tel Aviv or the broader region, shall suspend performance obligations for the duration of the event without penalty to either party.
This Purchase Order becomes binding upon signature by both parties. The Supplier acknowledges receipt of this Purchase Order and confirms acceptance of all terms, conditions, pricing, and deliverables outlined herein. The Supplier further confirms that the Petroleum Engineer to be assigned meets all qualifications specified in Section 2 and is available for the full contract duration.
