- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Milan (Milano), Italy.
- Place of Performance: All services rendered by the Petroleum Engineer shall be executed at the Buyer's premises located in Italy Milan, or at such other locations within the Milan metropolitan area as mutually agreed in writing. The Petroleum Engineer shall comply with all Italian labor regulations, workplace safety standards (D.Lgs. 81/2008), and environmental compliance requirements applicable in the region of Lombardia.
- Payment Terms: Payment shall be made within 60 (sixty) calendar days from the date of receipt of a valid invoice, via bank transfer to the account designated by the Supplier. Invoices must reference this Purchase Order number (PO-ITM-2025-04872) and include the Supplier's Partita IVA. Late payments shall accrue interest at the rate established by Italian law (Legge 192/1998).
- Qualification Requirements: The Petroleum Engineer engaged under this Purchase Order must hold a recognized degree in Petroleum Engineering or a related discipline, possess a minimum of fifteen (15) years of professional experience in upstream oil and gas operations, and be registered with the relevant Italian professional order (Ordine degli Ingegneri di Milano) where applicable.
- Confidentiality: The Petroleum Engineer and the Supplier shall maintain strict confidentiality regarding all proprietary data, reservoir information, and commercial terms disclosed by the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in compliance with Italian data protection regulations (GDPR and D.Lgs. 196/2003).
- Intellectual Property: All reports, models, analyses, and deliverables produced by the Petroleum Engineer in the course of performing services under this Purchase Order shall be the exclusive property of the Buyer, Eni S.p.A., located in Italy Milan.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Italy Milan or the broader Italian territory.
- Anti-Corruption: The Supplier and the Petroleum Engineer warrant compliance with all applicable anti-corruption and anti-money laundering laws of Italy, including D.Lgs. 231/2001 and the Italian Penal Code provisions.
All technical deliverables, including but not limited to reservoir simulation reports, well optimization recommendations, and production forecasts prepared by the Petroleum Engineer, shall be submitted to the Buyer's Engineering Services Unit in Italy Milan in both digital (PDF and native file formats) and hard-copy form. The Buyer shall have fifteen (15) business days from receipt to review and accept or reject each deliverable. Rejection must be accompanied by a written statement specifying the deficiencies requiring correction.
This Purchase Order is authorized and approved by the undersigned representatives of both parties. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Petroleum Engineer in Italy Milan.
