1. Scope of Engagement: This Purchase Order authorises the procurement of professional Petroleum Engineer services and associated technical equipment for deployment at the MedEnergy S.p.A. operational facility located in Italy Naples, Campania region. All services rendered by the Petroleum Engineer personnel shall comply with the Italian National Energy Agency (ENEA) regulations and the local municipal bylaws of the City of Naples.
2. Delivery and Installation: All physical goods listed in this Purchase Order shall be delivered to the MedEnergy S.p.A. premises at Via Toledo 182, Naples, Italy. The supplier is responsible for all transportation, insurance, and customs clearance procedures required to bring the equipment into Italy Naples. The Petroleum Engineer professional services shall commence no later than 01 August 2025, with the engineers reporting to the Naples office for onboarding.
3. Payment Terms: Payment shall be made via bank transfer to the supplier's designated account within forty-five (45) calendar days of receipt of a valid invoice. The invoice must reference this Purchase Order number (PO-MED-2025-00847) and include the supplier's VAT registration number. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Italian commercial law.
4. Compliance and Certification: The Petroleum Engineer personnel engaged under this Purchase Order must hold valid professional certifications recognised by the Italian Order of Engineers (Ordine degli Ingegneri) and possess a minimum of five (5) years of documented experience in hydrocarbon reservoir management. All equipment must carry CE marking and comply with EU Directive 2014/34/EU (ATEX) where applicable to the Italy Naples operational environment.
5. Confidentiality: All geological data, reservoir models, and proprietary information generated by the Petroleum Engineer team during the course of this engagement in Italy Naples shall remain the exclusive intellectual property of MedEnergy S.p.A. The supplier and all Petroleum Engineer personnel are bound by a non-disclosure agreement for a period of five (5) years following the conclusion of this Purchase Order.
6. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the supplier shall be compensated for all services rendered and non-cancellable equipment procured up to the date of termination. The Petroleum Engineer engagement may be terminated immediately for cause, including but not limited to gross negligence or breach of safety protocols at the Italy Naples site.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the competent courts of Naples, Italy.
