This Purchase Order is issued by Eni S.p.A. for the professional engagement of a qualified Petroleum Engineer to provide specialized technical services in support of the Adriatic Basin Reservoir Optimization Project. The Petroleum Engineer shall be physically based and perform all duties at the Eni headquarters facility located in Italy Rome, specifically at Via Marconi, 25, 00144 Roma. The scope of work encompasses reservoir modeling, well performance analysis, production forecasting, and technical advisory support for onshore and offshore operations within the Italian continental shelf and the broader Mediterranean region.

  1. This Purchase Order constitutes a binding agreement between Eni S.p.A. (Buyer) and TechPet Engineering Solutions S.r.l. (Supplier) for the provision of Petroleum Engineer professional services. All terms herein shall be governed by and interpreted in accordance with the Italian Civil Code (Codice Civile) and applicable European Union procurement regulations.
  2. The Petroleum Engineer engaged under this Purchase Order shall hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline, with no fewer than eight (8) years of progressive experience in reservoir engineering, well completion design, or production optimization. The candidate must be a registered professional engineer (Ingegnere) with the Italian Order of Engineers (Ordine degli Ingegneri) of the Lazio region, with the registration office located in Rome.
  3. All services shall be rendered at the Buyer's premises in Italy Rome unless otherwise authorized in writing by the Project Director. The Petroleum Engineer shall comply with all site safety regulations, environmental compliance requirements, and internal security protocols of the Eni Rome headquarters.
  4. The Supplier shall submit monthly invoices to the Buyer's Accounts Payable department in Rome. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by Italian law (Legge 192/1998).
  5. Confidentiality: The Petroleum Engineer shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary data, reservoir models, well logs, and operational information encountered during the engagement in Italy Rome and at any associated field sites. Breach of confidentiality shall result in immediate termination and financial penalties as stipulated in the NDA.
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination for convenience, the Buyer shall compensate the Supplier for all services rendered up to the effective date of termination, plus reasonable demobilization costs.
  7. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through binding arbitration seated in Rome, Italy, in accordance with the rules of the Italian Arbitration Chamber (Camera Arbitrale Italiana). The language of arbitration shall be English.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Rome metropolitan area.
  9. The Supplier warrants that the Petroleum Engineer assigned to this contract shall not be engaged in any conflicting professional obligations and shall dedicate a minimum of 40 hours per week to the Buyer's project while based in Italy Rome.
  10. All intellectual property, models, reports, and deliverables produced by the Petroleum Engineer in the course of this engagement shall be the exclusive property of Eni S.p.A. upon full payment of the amounts due under this Purchase Order.

By signing below, both parties acknowledge and accept all terms, conditions, and scope of work outlined in this Purchase Order for the engagement of a Petroleum Engineer in Italy Rome. This document is valid for a period of thirty (30) days from the date of issue, after which it shall lapse unless formally extended in writing.
