This Purchase Order is issued by Sahel Energy & Resources S.A. to TransOcean Petroleum Consulting Ltd. for the engagement of a qualified Petroleum Engineer to provide specialized technical services in support of the buyer's offshore and onshore hydrocarbon exploration and production operations located in and around Ivory Coast Abidjan and the adjacent maritime zones of the Gulf of Guinea.

The Petroleum Engineer or team of Petroleum Engineers engaged under this Purchase Order shall perform the following duties in Ivory Coast Abidjan and at designated offshore sites:
- Conduct reservoir modeling, production forecasting, and well performance analysis for the buyer's licensed exploration blocks in the Ivorian offshore sector.
- Prepare and review drilling programs, well completion designs, and workover plans in coordination with the buyer's operations team based in Abidjan.
- Perform subsurface data integration, including seismic interpretation, well log analysis, and geological modeling to support exploration decisions.
- Ensure full compliance with the Ivorian Hydrocarbons Code (Loi n° 2017-670 du 21 décembre 2017) and all regulations issued by the Ivorian Petroleum Authority (ANP – Agence Nationale des Hydrocarbures).
- Submit monthly technical reports, quarterly performance assessments, and an annual comprehensive engineering review to the buyer's management in Abidjan.
- Provide on-call technical support during critical drilling operations and well interventions, with a maximum response time of 4 hours within the Abidjan metropolitan area.

Payment under this Purchase Order shall be made in CFA Francs (XOF) via bank transfer to the supplier's designated account at a commercial bank operating in Ivory Coast Abidjan. The buyer shall issue payment within thirty (30) calendar days of receipt of a valid invoice from TransOcean Petroleum Consulting Ltd. Invoices must reference this Purchase Order number (PO-IVC-ABJ-2025-0047) and include the NIF of the supplier. A 1.5% monthly late-payment penalty shall apply to any overdue amounts in accordance with Ivorian commercial law.
- This Purchase Order is governed by the laws of the Republic of Côte d'Ivoire (Ivory Coast) and the OHADA Uniform Act on Commercial Law.
- The Petroleum Engineer personnel engaged under this order must hold a minimum of a Master's degree in Petroleum Engineering (or equivalent) and a minimum of five (5) years of relevant industry experience. Professional certification from a recognized body (e.g., SPE, IPE) is preferred.
- All work performed in Ivory Coast Abidjan and its surrounding jurisdictions shall comply with local labor laws, health and safety regulations, and environmental standards set by the Ivorian Ministry of Mines, Petroleum and Energy.
- The supplier warrants that the Petroleum Engineer services delivered shall be of professional quality, free from defects, and performed in a manner consistent with internationally accepted engineering standards (API, ISO 14001, ISO 45001).
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice.
- All intellectual property, data, and reports generated by the Petroleum Engineer in the course of this engagement shall be the exclusive property of the buyer.
- Disputes arising from this Purchase Order shall be resolved through amicable negotiation, failing which they shall be submitted to the competent courts of Abidjan, Ivory Coast, or to arbitration under the OHADA Arbitration Rules.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
By signing below, both parties acknowledge and accept all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Petroleum Engineer services in Ivory Coast Abidjan.
