- Scope of Work: The Petroleum Engineer shall perform all duties and responsibilities as outlined in the attached Statement of Work (SOW-2025-04782-A). All technical deliverables must comply with Japan's Ministry of Economy, Trade and Industry (METI) regulations and the Japan Petroleum Exploration Organization (JPEO) standards.
- Location of Performance: All services under this Purchase Order shall be rendered primarily at the Kishu Energy Solutions headquarters located in Japan Kyoto (Nakagyo-ku district), with additional site visits to operational facilities in Fushimi-ku and Ukyo-ku as required by the project schedule.
- Commencement and Duration: The engagement of the Petroleum Engineer shall commence on 1 July 2025 and continue for a period of six (6) months, concluding on 31 December 2025, unless extended by mutual written agreement of both parties.
- Payment Terms: Payment shall be made in monthly installments within thirty (30) days of receipt of a valid invoice. The first payment of JPY 2,500,000 shall be due upon execution of this Purchase Order. Subsequent monthly payments of JPY 2,368,083 shall be due on the 5th of each month. Payment shall be made via bank transfer to the account specified by the supplier.
- Qualifications and Compliance: The Petroleum Engineer must hold a valid Japanese Engineering License (Gikai) and demonstrate a minimum of fifteen (15) years of professional experience in reservoir engineering, well completion, and production optimization. All work performed in Japan Kyoto must adhere to local labor laws, safety regulations, and environmental protection statutes.
- Confidentiality: All data, reports, and technical information exchanged under this Purchase Order shall be treated as strictly confidential. The Petroleum Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing any work in Japan Kyoto.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Petroleum Engineer shall deliver all completed work products and data to Kishu Energy Solutions in Japan Kyoto within fourteen (14) days of the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this agreement shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association (JCAA).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government actions, or other events beyond reasonable control, including but not limited to seismic activity common to the Japan Kyoto region.
