This Purchase Order is issued by Kansai Energy Infrastructure Co., Ltd. (hereinafter referred to as the "Buyer") to Global Petroleum Engineering Solutions (GPES) Ltd. (hereinafter referred to as the "Seller") for the engagement of a qualified Petroleum Engineer to provide specialized technical services in support of the Buyer's subsea pipeline integrity assessment and reservoir optimization program located in and around the Japan Osaka metropolitan region and its associated offshore energy infrastructure. The scope of work under this Purchase Order encompasses reservoir modeling, wellbore integrity analysis, production optimization, and regulatory compliance reporting in accordance with the Ministry of Economy, Trade and Industry (METI) guidelines applicable to energy operations in Japan Osaka.

  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Seller within ten (10) business days of the date of issue. Failure to respond within this period shall constitute a declination of this Purchase Order.
  2. Commencement: The Petroleum Engineer shall report to the Buyer's designated facility in Japan Osaka no later than 1 August 2025. All onboarding, security clearance, and site induction procedures specific to Japan Osaka energy operations must be completed within the first five (5) business days.
  3. Payment Terms: Payment shall be made in Japanese Yen (JPY) via bank transfer to the Seller's designated account. Invoices are payable within forty-five (45) days of receipt. Monthly retainer payments for the Petroleum Engineer engagement (Line Item 1) shall be due on the first business day of each month.
  4. Performance Standards: The Petroleum Engineer shall adhere to all applicable Japanese national standards (JIS), METI regulations, and local Japan Osaka municipal safety codes. All deliverables must be submitted in both English and Japanese.
  5. Intellectual Property: All reports, models, data sets, and technical documentation produced by the Petroleum Engineer under this Purchase Order shall be the exclusive property of the Buyer. The Seller grants no third-party rights to such materials.
  6. Insurance and Liability: The Seller shall maintain professional indemnity insurance with a minimum coverage of JPY 50,000,000, valid throughout the duration of this Purchase Order and specifically covering operations conducted in Japan Osaka.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Seller for all services rendered up to the effective date of termination, including reasonable relocation costs for the Petroleum Engineer departing Japan Osaka.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising hereunder shall be resolved by arbitration in Osaka, Japan Osaka, under the rules of the Japan Commercial Arbitration Association (JCAA).
  9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters (including earthquakes and typhoons common to the Japan Osaka region), government actions, or other events beyond reasonable control.
  10. Compliance: The Seller warrants that the Petroleum Engineer engaged under this Purchase Order holds valid professional licensure, possesses a minimum of ten (10) years of relevant experience in upstream petroleum operations, and is in full compliance with all immigration and work-permit requirements for employment in Japan Osaka.

All services under this Purchase Order shall be performed at the Buyer's primary operational site located at 8-2-1 Nanko, Nishi-ku, Osaka 550-0013, Japan Osaka, and at the associated offshore platform KAI-7 situated approximately 42 nautical miles southwest of the Japan Osaka coastline. The Petroleum Engineer shall maintain a primary office presence in the Japan Osaka metropolitan area and shall be available for on-site inspections at the offshore location on a rotational basis (14 days on / 7 days off).
