This Purchase Order is issued by Caspian Energy Resources LLP (hereinafter referred to as the "Buyer") to Steppe Drilling & Engineering Solutions JSC (hereinafter referred to as the "Supplier") for the engagement of a qualified Petroleum Engineer to provide specialized technical services in support of the Buyer's upstream exploration and production operations located in and around the Kazakhstan Almaty region and the broader Karaganda and Mangystau basins.

The Petroleum Engineer engaged under this Purchase Order shall perform the following duties in full compliance with the Republic of Kazakhstan's Subsoil Use Law and all applicable regulations of the Kazakhstan Almaty regional authority:
- Conduct quarterly reservoir performance reviews and submit written technical reports to the Buyer's Kazakhstan Almaty operations directorate.
- Develop and update 3D geological and reservoir models for at least three (3) active fields within the operational perimeter.
- Provide real-time technical support during drilling and workover operations, with a maximum response time of four (4) hours for critical issues.
- Prepare monthly production optimization recommendations and present findings at the Buyer's monthly technical review meeting held in Kazakhstan Almaty.
- Maintain a complete digital record of all engineering calculations, well logs, and analytical reports in the Buyer's centralized data repository.
- Coordinate with the Kazakhstan Almaty regional subsoil committee on regulatory filings, environmental impact assessments, and well-permit renewals.
Payment for services rendered under this Purchase Order shall be made in Tenge (KZT) via bank transfer to the Supplier's designated account. The Buyer shall issue payment within thirty (30) calendar days of receipt of a valid invoice and the corresponding deliverable acceptance certificate. Invoices must reference this Purchase Order number (PO-KZ-2025-04782) and include the Supplier's BIN. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated under the Civil Code of the Republic of Kazakhstan.
Services under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless extended by mutual written agreement of both parties. The Petroleum Engineer must be fully mobilized and operational from the Kazakhstan Almaty site no later than 5 July 2025.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved through arbitration at the International Arbitration Center of the Astana International Financial Centre.
- The Supplier warrants that the Petroleum Engineer assigned to this Purchase Order holds a minimum of a Master's degree in Petroleum Engineering or a related discipline, possesses at least eight (8) years of relevant field experience, and is registered with the relevant professional body in Kazakhstan Almaty.
- The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of 50,000,000 KZT for the duration of this Purchase Order.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. Upon termination, the Buyer shall pay for all services satisfactorily rendered up to the effective date of termination.
- All intellectual property, data, and reports generated by the Petroleum Engineer in the course of performing duties under this Purchase Order shall be the exclusive property of the Buyer.
- The Supplier shall comply with all health, safety, and environmental (HSE) standards applicable to petroleum operations in Kazakhstan Almaty and the broader Republic of Kazakhstan.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Petroleum Engineer services in Kazakhstan Almaty as described herein.
