1. Description of ProcurementThis Purchase Order is issued by East African Energy Solutions Ltd. (hereinafter referred to as the "Purchaser") to GeoTech Petroleum Consulting Group (hereinafter referred to as the "Vendor") for the professional services of a qualified Petroleum Engineer to be deployed and operational within the Kenya Nairobi metropolitan area. The Petroleum Engineer shall provide comprehensive subsurface evaluation, reservoir characterization, well planning, and production optimization services in support of the Purchaser's onshore exploration and development activities located in the Kenya Nairobi region and its surrounding geological formations.

3.1 This Purchase Order constitutes a binding agreement between East African Energy Solutions Ltd. and GeoTech Petroleum Consulting Group upon countersignature by both parties. All services described herein shall be performed by a duly licensed and registered Petroleum Engineer in good standing with the Engineering Board of Kenya (EBK) and the Kenya Petroleum Authority (KPA).
3.2 The Petroleum Engineer shall report directly to the Project Director of East African Energy Solutions Ltd. at the Kenya Nairobi headquarters located on Moi Avenue. All work products, data sets, and technical deliverables shall be submitted in both hard copy and electronic format (PDF and native software files) to the Purchaser's Kenya Nairobi office.
3.3 Payment shall be made in Kenyan Shillings (KES) via bank transfer to the Vendor's designated account within thirty (30) calendar days of receipt of a valid tax invoice. The Vendor shall provide a valid Tax Invoice bearing the correct PIN number as registered with the Kenya Revenue Authority (KRA). Withholding tax at the rate prescribed by the Income Tax Act, 2015 of Kenya shall be deducted at source where applicable.
3.4 The Petroleum Engineer shall comply with all applicable Kenyan laws and regulations, including but not limited to the Petroleum (Exploration and Production) Act, 2019, the Environmental Management and Coordination Act (EMCA), 1999, and the Occupational Safety and Health Act, 2007. All site work in Kenya Nairobi shall adhere to the Purchaser's Health, Safety, and Environment (HSE) management plan.
3.5 The Vendor shall maintain professional indemnity insurance with a minimum cover of KES 50,000,000 for the duration of this Purchase Order. A certificate of insurance shall be provided to the Purchaser prior to the commencement of services in Kenya Nairobi.
3.6 Any variation to the scope of services outlined in this Purchase Order must be agreed upon in writing by both parties. Unauthorized additional work by the Petroleum Engineer beyond the stated scope shall not be compensated unless a formal Purchase Order amendment is executed.
3.7 The Vendor warrants that the Petroleum Engineer assigned to this engagement holds a minimum of a Bachelor's degree in Petroleum Engineering or a closely related discipline from a recognized university, and possesses a valid professional registration certificate from the Engineering Board of Kenya.
3.8 In the event of a dispute arising from this Purchase Order, both parties shall first attempt to resolve the matter through good-faith negotiation. Should negotiation fail within thirty (30) days, the dispute shall be referred to arbitration in Kenya Nairobi in accordance with the Arbitration Act, 1995 of Kenya. The language of arbitration shall be English.
3.9 This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Kenya. The courts of Kenya Nairobi shall have exclusive jurisdiction over any legal proceedings arising from or in connection with this document.
4. Commencement and DurationThe services under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to satisfactory performance by the Petroleum Engineer and mutual agreement for extension. All on-site activities shall be conducted at the designated project locations within Kenya Nairobi and its immediate environs as directed by the Purchaser.
