This Purchase Order is issued by Kuwait Petroleum Corporation to procure the professional services of a qualified Petroleum Engineer to be deployed and stationed at the Al-Nakheel Industrial Zone facility in Kuwait Kuwait City. The Petroleum Engineer shall provide comprehensive technical support in the areas of reservoir characterization, well performance analysis, production optimization, and enhanced oil recovery (EOR) strategy development for the North Rumaila and Burgan field operations.
The Petroleum Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline, possess no fewer than ten (10) years of progressive field experience in the Gulf region, and demonstrate proficiency in industry-standard simulation software including Eclipse, CMG, and Petrel. The Petroleum Engineer shall report directly to the Senior Reservoir Manager at the Kuwait Kuwait City operations center and shall be available on a full-time, on-site basis for the duration specified herein.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration in Kuwait Kuwait City in accordance with the Kuwait Commercial Arbitration Law.
- Payment Terms: Invoices shall be submitted monthly by the 5th business day. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice via bank transfer to the account designated by Gulf PetroTech Consulting LLC. All amounts are denominated in Kuwaiti Dinars (KWD).
- Commencement and Duration: The Petroleum Engineer services shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. The Petroleum Engineer must be physically present at the Kuwait Kuwait City site no later than 07:00 KST on the first day of service.
- Confidentiality: The Petroleum Engineer shall treat all data, reservoir models, production figures, and proprietary information of Kuwait Petroleum Corporation as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Health, Safety, and Environment (HSE): The Petroleum Engineer shall comply with all HSE regulations enforced by the Kuwait Ministry of Oil and the site-specific safety protocols at the Kuwait Kuwait City operations center. A valid HSE induction certificate must be obtained prior to site access.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
- Insurance: The service provider shall maintain professional indemnity insurance with a minimum coverage of KWD 500,000 and workers' compensation insurance as required by Kuwaiti labor law for the duration of this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest in Kuwait Kuwait City.
- Compliance: The Petroleum Engineer shall comply with all applicable Kuwaiti labor laws, immigration regulations, and professional licensing requirements. The service provider is responsible for securing and maintaining all necessary work permits and professional registrations for the Petroleum Engineer in Kuwait Kuwait City.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Petroleum Engineer in Kuwait Kuwait City. This document constitutes a binding agreement upon execution by both authorized representatives.
