This Purchase Order is issued by Petróleos del Valle S.A. de C.V. (hereinafter referred to as the "Buyer") to GeoTech Engineering & Consulting Group, S.A. de C.V. (hereinafter referred to as the "Service Provider") for the engagement of a qualified Petroleum Engineer to perform specialized subsurface analysis, reservoir characterization, and production optimization services at the Buyer's operational facilities located in and around Mexico Mexico City and the surrounding State of Mexico region.
The Petroleum Engineer shall be a licensed professional registered with the Colegio de Ingenieros Petroleros de México (CIPM) and shall hold a minimum of ten (10) years of progressive experience in onshore and offshore petroleum operations. The Petroleum Engineer shall be responsible for, but not limited to, the following deliverables:

All amounts stated in this Purchase Order are denominated in Mexican Pesos (MXN) and are subject to the applicable tax regulations of the Servicio de Administración Tributaria (SAT) of the United Mexican States. The Service Provider shall issue a CFDI (Comprobante Fiscal Digital por Internet) invoice for each payment milestone.
4. TERMS AND CONDITIONS4.1 Commencement and Duration: Services shall commence on July 1, 2025, and shall continue for a period of six (6) months, unless extended by mutual written agreement. All fieldwork and on-site activities shall be conducted in Mexico Mexico City and the State of Mexico, in compliance with local municipal regulations and federal environmental standards established by SEMARNAT.
4.2 Payment Terms: Payment shall be made in three (3) equal installments: (a) 40% upon execution of this Purchase Order and commencement of services; (b) 35% upon delivery and acceptance of the EOR feasibility study; and (c) 25% upon completion of all deliverables and final acceptance. Payments shall be made via bank transfer (SPEI) to the account designated by the Service Provider within fifteen (15) business days of receipt of a valid CFDI invoice.
4.3 Qualifications of the Petroleum Engineer: The Service Provider warrants that the Petroleum Engineer assigned to this Purchase Order shall hold a professional engineering degree (Ingeniería Petrolera or equivalent) from an institution accredited by CONACYT, a valid CIPM registration, and a current professional liability insurance policy with a minimum coverage of MXN 5,000,000.00. The Buyer reserves the right to request the substitution of the Petroleum Engineer if performance does not meet the agreed-upon technical standards.
4.4 Confidentiality and Data Protection: All subsurface data, well logs, production records, and proprietary information disclosed under this Purchase Order shall be treated as strictly confidential. The Service Provider and the Petroleum Engineer shall comply with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares and shall not disclose any information to third parties without prior written consent from the Buyer.
4.5 Health, Safety, and Environment (HSE): The Petroleum Engineer shall adhere to all HSE protocols established by the Buyer and in accordance with NOM-030-STPS, NOM-019-STPS, and applicable regulations of the Secretaría de Trabajo y Previsión Social. All field activities in Mexico Mexico City and surrounding areas shall comply with local environmental impact assessment requirements.
4.6 Intellectual Property: All reports, models, simulations, and technical documents produced under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Petroleum Engineer and Service Provider retain no rights to reproduce, publish, or distribute such materials without express written authorization.
4.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Federal District (now Mexico Mexico City) and the applicable federal commercial laws of the United Mexican States. Any dispute arising herefrom shall be subject to the exclusive jurisdiction of the commercial courts of Mexico Mexico City, Mexico.
4.8 Termination: Either party may terminate this Purchase Order with thirty (30) days' prior written notice. In the event of termination for convenience, the Buyer shall compensate the Service Provider for all services rendered and documented expenses incurred up to the effective date of termination.
5. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Petroleum Engineer to perform the described services in Mexico Mexico City, Mexico.
