3.1 Scope and Qualification
The Petroleum Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline from an accredited institution, along with a minimum of ten (10) years of professional experience in onshore petroleum operations in North Africa. The Petroleum Engineer must be registered with the Moroccan Order of Engineers (Ordre des Ingénieurs du Maroc) and must possess a valid professional license to practice petroleum engineering within the Kingdom of Morocco. All technical deliverables produced by the Petroleum Engineer shall comply with the standards set forth by the Moroccan Ministry of Energy, Transition and Environmental Development.
3.2 Place of Performance
All administrative meetings, report submissions, and training sessions under this Purchase Order shall take place at the buyer's principal office located in Morocco Casablanca, specifically at 12, Boulevard Mohammed V, Casablanca 20000. Fieldwork and on-site inspections shall be conducted at the Oued Zem petroleum field. The Petroleum Engineer is expected to maintain a primary working base in Morocco Casablanca for the duration of the contract to ensure timely availability for client meetings and regulatory filings.
3.3 Payment Terms
Payment for services rendered under this Purchase Order shall be made in Moroccan Dirhams (MAD) via bank transfer to the supplier's designated account at Bank of Africa (BMCE), Casablanca branch. The payment schedule is as follows: (a) 30% advance payment upon signature of this Purchase Order; (b) 40% upon completion and acceptance of the reservoir characterization report; (c) 30% upon final delivery and acceptance of the EOR feasibility report and completion of all training sessions. Invoices must be submitted to the buyer's finance department in Morocco Casablanca no later than the 5th business day of the month following the service period. Payment shall be processed within thirty (30) calendar days of invoice receipt.
3.4 Confidentiality and Data Protection
The Petroleum Engineer and all personnel of the supplier shall treat all subsurface data, well logs, production records, and proprietary information of Atlas Energy & Resources S.A. as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years. All data shall be stored on encrypted systems located within the borders of Morocco, in compliance with the Moroccan Law No. 09-08 on the Protection of Personal Data.
3.5 Health, Safety, and Environmental (HSE) Compliance
The Petroleum Engineer shall adhere to all HSE protocols established by the buyer and in accordance with Moroccan occupational safety regulations. The supplier shall provide a valid HSE certificate and proof of professional liability insurance with a minimum coverage of 5,000,000 MAD prior to the commencement of any on-site work.
3.6 Termination
Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. In the event of termination, the buyer shall pay for all services satisfactorily rendered up to the effective date of termination. Termination for cause may be effected immediately upon written notice if the Petroleum Engineer fails to meet the technical deliverables outlined in this Purchase Order after a thirty-day cure period.
3.7 Governing Law and Dispute Resolution
This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any dispute arising from or in connection with this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be submitted to the competent commercial courts of Casablanca, Morocco.
This Purchase Order is issued in two (2) original copies, one for each party. Both copies carry equal legal weight. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Petroleum Engineer in Morocco Casablanca.
