The Petroleum Engineer shall be responsible for conducting monthly production reviews, quarterly reservoir performance audits, and annual comprehensive technical assessments. 1. This Purchase Order is governed by the laws of the Republic of the Union of Myanmar, with particular reference to the Myanmar Companies Law (2017) and the Petroleum Law (2019). Any disputes arising from this Purchase Order shall be resolved through arbitration in Myanmar Yangon under the rules of the Myanmar Arbitration Centre.

2. The vendor shall ensure that the assigned Petroleum Engineer holds all necessary work permits, visas, and professional registrations required to legally perform engineering services in Myanmar Yangon. All immigration and work permit costs shall be borne by the vendor unless otherwise specified in a written amendment to this Purchase Order.

3. Payment shall be made in US Dollars (USD) via international wire transfer to the bank account specified above, within forty-five (45) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (MEPS-2025-00472) and include detailed timesheets signed by the Myanmar Yangon site supervisor.

4. The vendor shall maintain comprehensive professional indemnity insurance with a minimum coverage of USD 5,000,000, valid throughout the duration of this Purchase Order and covering all activities performed in Myanmar Yangon and its surrounding waters.

5. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all services rendered up to the effective date of termination, as documented in approved timesheets and deliverables.

6. All intellectual property, technical data, reservoir models, and reports generated by the Petroleum Engineer in the course of this engagement shall remain the exclusive property of Myanmar Energy & Petroleum Services Ltd. and shall not be disclosed to any third party without prior written consent.

7. The Petroleum Engineer shall comply with all applicable Myanmar Yangon municipal regulations, environmental protection laws, and site-specific safety protocols. Failure to comply may result in immediate suspension of services and potential termination of this Purchase Order.
