- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal, specifically the Contract Act, 2023 (2056 BS) and the Companies Act, 2063 (2006). All disputes arising from this Purchase Order shall be resolved through arbitration in Nepal Kathmandu under the Nepal Arbitration Act, 2055 (1998).
- Qualification Requirements: The Petroleum Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline from an accredited university, possess a valid professional license issued by the Nepal Engineering Council, and demonstrate a minimum of eight (8) years of progressive experience in upstream petroleum operations.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon submission and acceptance of the mid-project deliverables (Items 01 and 02), and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the account designated by Gorkha Petroleum Consulting Engineers, Nepal Kathmandu. Payment is due within thirty (30) days of invoice receipt.
- Work Location: The primary work location for the Petroleum Engineer shall be the project site in the Mahakali Basin, with administrative reporting and all training workshops to be conducted at the Nepal Kathmandu headquarters of Himalayan Energy & Resources Pvt. Ltd. at Putalisadak.
- Intellectual Property: All reports, models, data analyses, and strategic documents produced by the Petroleum Engineer under this Purchase Order shall become the exclusive property of Himalayan Energy & Resources Pvt. Ltd. upon full payment. The Petroleum Engineer shall not disclose proprietary data to any third party without written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, financial information, and operational details exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Petroleum Engineer shall be compensated for all work completed up to the date of termination, and all deliverables in progress shall be handed over to the Purchasing Party.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters (including earthquakes common to the Nepal Kathmandu region), government actions, war, or other events beyond reasonable control.
- Compliance: The Petroleum Engineer shall comply with all applicable environmental, safety, and labor regulations of Nepal, including those enforced by the Department of Environment, Nepal Kathmandu, and the Occupational Safety and Health Act, 2074 (2017).
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties in Nepal Kathmandu.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Petroleum Engineer in Nepal Kathmandu. This document constitutes a binding agreement effective from the date of the last signature.
