The Petroleum Engineer engaged under this Purchase Order shall possess a minimum of fifteen (15) years of professional experience in petroleum engineering, hold a valid Dutch professional engineering license (IRL), and demonstrate proven expertise in hydrocarbon reservoir management, enhanced oil recovery techniques, and digital twin simulation platforms. All deliverables produced under this Purchase Order must comply with the Dutch Mining Act (Mijnbouwwet) and the regulations set forth by the Dutch Ministry of Economic Affairs and Climate Policy.

All professional services rendered under this Purchase Order shall be performed at the buyer's operational headquarters located at Herengracht 450, 1017 CA Amsterdam, Netherlands, and at the designated field sites within the Netherlands Amsterdam metropolitan area as specified in the attached Statement of Work (SOW-2025-AM-00487). The Petroleum Engineer shall be available on-site in Netherlands Amsterdam for a minimum of three (3) days per week during the active project period, with remote work permitted for analytical and modeling tasks.

5.1 This Purchase Order is governed by the laws of the Netherlands and shall be interpreted in accordance with Dutch commercial law. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands.

5.2 The Petroleum Engineer engaged under this Purchase Order shall maintain full professional liability insurance with a minimum coverage of €5,000,000 per occurrence, valid throughout the Netherlands Amsterdam region.

5.3 All intellectual property, data, models, and reports generated as a direct result of services performed under this Purchase Order shall remain the exclusive property of Amsterdam Energy Solutions B.V. The Petroleum Engineer and Delta Petroleum Consulting Group N.V. shall not reproduce, distribute, or disclose any proprietary information without prior written consent.

5.4 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number. Late payments shall accrue interest at the statutory Dutch rate as defined under Article 6:119a of the Dutch Civil Code.

5.5 The vendor shall comply with all applicable Dutch labor regulations, environmental standards, and health & safety requirements applicable to petroleum engineering operations in the Netherlands Amsterdam area.

5.6 This Purchase Order may be amended only by mutual written agreement of both parties. No oral modifications shall be binding.
