This Purchase Order is issued by Taupo Energy Resources Ltd. to Meridian Subsurface Consulting Group for the engagement of a qualified Petroleum Engineer to deliver subsurface evaluation, reservoir modelling, and production optimisation services for the Kaimai Basin exploration project located in the New Zealand Auckland metropolitan region and surrounding offshore areas. The Petroleum Engineer shall operate in full compliance with the New Zealand Petroleum and Minerals Act 1967, the Health and Safety at Work Act 2015, and all applicable environmental regulations administered by the Auckland Council and the Ministry for the Environment.

The Petroleum Engineer and supporting technical team shall commence work on 1 July 2025 and complete all deliverables no later than 30 November 2025. All on-site work shall be conducted at the Taupo Energy Resources Ltd. headquarters in New Zealand Auckland, with additional field visits to the Kaimai Basin exploration site as required. Milestone payments shall be released upon written acceptance of each phase deliverable by the Procurement Director.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand Auckland and the New Zealand jurisdiction. Any disputes shall be resolved through the Disputes Tribunal or the District Court of Auckland.
- Payment Terms: Net 30 days from receipt of a valid tax invoice. Payment shall be made via electronic funds transfer to the supplier's nominated New Zealand Auckland bank account.
- Qualifications: The assigned Petroleum Engineer must hold a valid New Zealand Professional Engineer (PEng) registration with Engineers New Zealand, a minimum of ten (10) years of post-graduate experience in petroleum reservoir engineering, and demonstrated competency in reservoir simulation software (Eclipse, tNavigator, or equivalent).
- Confidentiality: All subsurface data, well logs, seismic interpretations, and production records provided to the Petroleum Engineer are classified as commercially sensitive. The supplier shall execute a Non-Disclosure Agreement prior to commencing work and shall not disclose any project information to third parties without written consent.
- Health & Safety: The Petroleum Engineer and all supporting personnel must comply with the New Zealand Health and Safety at Work Act 2015, hold a valid White Card (or equivalent NZ safety induction), and complete site-specific safety briefings before entering any operational area in the New Zealand Auckland region.
- Insurance: The supplier shall maintain Professional Indemnity Insurance of no less than NZD $5,000,000 and Public Liability Insurance of no less than NZD $10,000,000 for the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the supplier shall be compensated for all work completed and accepted up to the termination date.
- Intellectual Property: All reports, models, and technical deliverables produced under this Purchase Order shall become the sole property of Taupo Energy Resources Ltd. upon full payment.
- Compliance: The Petroleum Engineer shall ensure all work products meet the standards set by the New Zealand Petroleum and Minerals Act 1967, the Resource Management Act 1991, and Auckland Council district plan requirements for the New Zealand Auckland area.
