Terms and Conditions of This Purchase Order
- Scope of Work: The Seller shall provide qualified Petroleum Engineer personnel and associated technical equipment as specified in the line items above. All Petroleum Engineer staff assigned to this Purchase Order must hold valid professional registration with the Nigerian Institution of Mining and Geology (NIMG) and possess a minimum of five (5) years of relevant experience in upstream petroleum operations within Nigeria.
- Place of Performance: All services under this Purchase Order shall be rendered at the Buyer's designated operational site in Nigeria Abuja, Federal Capital Territory. The Seller is responsible for all logistics, travel, and accommodation arrangements for the Petroleum Engineer team within the Nigeria Abuja metropolitan area.
- Payment Schedule: Sixty percent (60%) of the total Purchase Order value shall be paid as an advance within fourteen (14) calendar days of the Buyer's written acceptance of this Purchase Order. The remaining forty percent (40%) shall be disbursed within twenty-one (21) days following the Buyer's written acceptance of the final Petroleum Engineering deliverables and completion certificate.
- Regulatory Compliance: The Seller warrants that all Petroleum Engineer services and equipment supplied under this Purchase Order shall comply with the provisions of the Petroleum Industry Act 2021, the Nigerian Upstream Petroleum Regulatory Commission (NUPRC) guidelines, and all applicable Federal Government of Nigeria regulations governing petroleum operations in Nigeria Abuja and the FCT.
- Health, Safety & Environment (HSE): The Seller shall ensure that every Petroleum Engineer deployed to the Nigeria Abuja site adheres to the Buyer's HSE management plan, including but not limited to PPE requirements, site induction, and emergency evacuation protocols. Any breach of HSE standards shall constitute grounds for immediate termination of this Purchase Order.
- Confidentiality: All subsurface data, reservoir models, and technical reports generated by the Petroleum Engineer team in connection with this Purchase Order shall remain the exclusive property of the Buyer. The Seller and its Petroleum Engineer personnel shall execute a Non-Disclosure Agreement (NDA) prior to commencing work in Nigeria Abuja.
- Warranty & Defects: The Seller provides a twelve (12) month warranty on all hardware equipment listed in this Purchase Order. Any defective Petroleum Engineer workstation or software licence shall be replaced or repaired at the Seller's sole cost within ten (10) business days of written notice from the Buyer in Nigeria Abuja.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, civil unrest in Nigeria, or changes in petroleum regulatory policy affecting operations in Nigeria Abuja.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with this Purchase Order shall be resolved by arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004).
- Currency & Exchange: All payments under this Purchase Order shall be made in Nigerian Naira (NGN) via bank transfer to the Seller's designated account. In the event of foreign currency components, conversion shall be at the Central Bank of Nigeria (CBN) official rate prevailing on the date of payment.
