This Purchase Order is issued by Andes Energy Solutions S.A.C. to formally engage the services of a qualified Petroleum Engineer to support exploration, production, and reservoir management operations based in Peru Lima. The Petroleum Engineer shall provide full-time professional technical services in accordance with the scope of work detailed below. All deliverables, reports, and on-site activities shall be conducted in compliance with the regulations established by the Peruvian Ministry of Energy and Mines (MINEM) and the Peruvian Hydrocarbons Law (Ley de Hidrocarburos, D.L. 25728) as amended.

- Scope and Performance: The Petroleum Engineer shall perform all duties with the highest degree of professional competence, adhering to the technical standards established by the American Petroleum Institute (API), the International Organization for Standardization (ISO 14001, ISO 45001), and applicable Peruvian national regulations governing hydrocarbon exploration and production activities in the Lima metropolitan area and surrounding concession blocks.
- Work Location: Primary work shall be conducted at the Andes Energy Solutions corporate office located in San Isidro, Peru Lima. Field visits to operational sites within the Lima basin and the Ica region shall be arranged as needed, with travel expenses reimbursed at cost upon submission of itemized receipts.
- Payment Schedule: Invoices shall be submitted on the last business day of each calendar month. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice via bank transfer to the account designated by the Petroleum Engineer. Late payments shall accrue interest at the rate established by the Superintendencia de Banca, Seguros y AFP (SBS).
- Confidentiality: The Petroleum Engineer acknowledges that all reservoir data, well logs, production figures, and proprietary technical information received in the course of this Purchase Order are strictly confidential. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Petroleum Engineer shall be compensated for all services rendered up to the effective date of termination. Termination for cause (material breach, gross negligence, or violation of Peruvian labor and safety regulations) may be effected immediately upon written notice.
- Insurance and Liability: The Petroleum Engineer shall maintain professional liability insurance with a minimum coverage of PEN 500,000 and workers' compensation coverage in accordance with Peruvian labor law (D.S. 003-97-TR). The Petroleum Engineer shall indemnify Andes Energy Solutions S.A.C. against any claims arising from negligence or professional malpractice.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Peru. Any disputes arising hereunder shall be submitted to the competent courts of Peru Lima, or alternatively, to arbitration administered by the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima (CAC-CCCL).
- Compliance: The Petroleum Engineer warrants that he/she holds a valid professional license (Colegiatura) issued by the Colegio de Ingenieros del Perú – Consejo Departamental de Lima and that all qualifications meet the requirements set forth in the Peruvian Hydrocarbons Law and its implementing regulations.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Petroleum Engineer to provide professional technical services in Peru Lima. This document constitutes a binding agreement between the parties upon execution.
