This Purchase Order is issued by Philippine Energy Resources Corporation (hereinafter referred to as the "Buyer") to Manila Petroleum Engineering Consultants, Inc. (hereinafter referred to as the "Supplier") for the engagement of a qualified Petroleum Engineer to provide specialized subsurface reservoir analysis, well performance optimization, and production forecasting services. The Petroleum Engineer shall be assigned to the Buyer's primary operations facility located in Philippines Manila and shall report directly to the Director of Reservoir Engineering. This Purchase Order constitutes a binding agreement for the professional services described herein and shall be governed by the laws of the Republic of the Philippines.

The Petroleum Engineer engaged under this Purchase Order shall perform the following duties at the Buyer's designated facility in Philippines Manila:
- Conduct comprehensive reservoir characterization and build 3D geological models using available seismic, well log, and core data for the Buyer's active fields in the West Philippine Sea sector.
- Perform wellbore trajectory analysis, completion design reviews, and stimulation program evaluations for a minimum of six (6) wells per contract period.
- Generate monthly production performance reports, including decline curve analysis, water cut projections, and ultimate recovery estimates, to be submitted to the Buyer's management team in Philippines Manila no later than the fifth (5th) business day of each month.
- Coordinate with the Buyer's geology, drilling, and operations teams during all phases of well intervention and workover activities.
- Ensure all deliverables comply with the standards set by the Philippine Department of Energy (DOE) and the Philippine National Oil Company (PNOC) regulatory framework.
- Maintain strict confidentiality of all proprietary reservoir data, well information, and commercial figures in accordance with the Non-Disclosure Agreement (NDA) referenced in Section 7 of this Purchase Order.
- 4.1 This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the Commencement Date, unless terminated earlier in accordance with Section 4.7.
- 4.2 The Supplier shall ensure that the assigned Petroleum Engineer holds a valid Professional Regulation Commission (PRC) license as a Registered Petroleum Engineer in the Philippines and maintains all required continuing professional education (CPE) credits.
- 4.3 Payment shall be made via bank transfer to the Supplier's designated account in Philippines Manila within thirty (30) calendar days from the Buyer's receipt of a valid, itemized invoice.
- 4.4 The Buyer reserves the right to request a replacement Petroleum Engineer of equivalent or superior qualifications should the assigned professional fail to meet performance benchmarks outlined in the Service Level Agreement (SLA) annexed to this Purchase Order.
- 4.5 All work products, reports, models, and data generated by the Petroleum Engineer under this Purchase Order shall be the exclusive property of the Buyer upon full payment.
- 4.6 The Supplier shall comply with all applicable labor laws, tax regulations, and occupational safety standards of the Republic of the Philippines, particularly those enforced in the Philippines Manila metropolitan area.
- 4.7 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- 4.8 Disputes arising from this Purchase Order shall be resolved through mediation in Philippines Manila before resorting to litigation in the courts of Makati City, Philippines.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Petroleum Engineer in Philippines Manila. This document, together with its annexes and the referenced NDA, constitutes the entire agreement between the parties with respect to the subject matter herein.
