TERMS AND CONDITIONS
- This Purchase Order constitutes a binding agreement between Arctic Energy Solutions LLC (hereinafter "Buyer") and Siberian Petroleum Consulting Group JSC (hereinafter "Supplier") for the provision of specialized Petroleum Engineer services and associated technical deliverables.
- All Petroleum Engineer personnel assigned under this Purchase Order must hold valid professional certifications recognized by the Russian Ministry of Energy and possess a minimum of eight (8) years of documented experience in upstream petroleum operations.
- The primary work location for all services rendered under this Purchase Order shall be the Buyer's headquarters at 14 Tverskaya Street, Moscow, Russia Moscow Region. Any off-site deployment (e.g., field assessments) must be pre-approved in writing by the Buyer's Project Director.
- Payment terms: Net 30 days from the date of invoice acceptance. Payment shall be made via bank transfer to the Supplier's designated account in Russian Rubles (RUB). Late payments shall accrue interest at 0.1% per calendar day.
- The Supplier guarantees that all Petroleum Engineer deliverables, including reservoir models, completion reports, and production forecasts, shall comply with GOST R 51302-2017 and applicable Russian federal regulations governing petroleum engineering practices.
- Confidentiality: All subsurface data, well logs, and proprietary reservoir information accessed by the Petroleum Engineer team in Russia Moscow shall be treated as strictly confidential and shall not be disclosed to any third party without written consent from the Buyer.
- This Purchase Order is governed by the Civil Code of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of Moscow, Russia Moscow Region.
- The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of 50,000,000 RUB for the duration of this Purchase Order engagement.
DELIVERY AND ACCEPTANCE
All Petroleum Engineer service milestones and technical deliverables shall be submitted to the Buyer's Engineering Review Board at the Russia Moscow office no later than the dates specified in the attached Project Schedule (Appendix A). Acceptance of deliverables shall be confirmed in writing within ten (10) business days of submission. Failure to provide written rejection within this period shall constitute deemed acceptance.
