1. SCOPE OF WORK – PETROLEUM ENGINEER SERVICESThis Purchase Order is issued by Al-Rashid Energy & Infrastructure Co. Ltd. (hereinafter referred to as the "Buyer") to Gulf Technical Consulting & Engineering FZE (hereinafter referred to as the "Supplier") for the engagement of a qualified Petroleum Engineer to provide specialized technical services in support of the Buyer's upstream oil and gas operations located in Saudi Arabia Jeddah and its surrounding industrial zones. The Petroleum Engineer shall be responsible for reservoir evaluation, well performance analysis, production optimization, and technical advisory services in full compliance with the regulations set forth by the Saudi Arabian Oil and Gas Authority (OGA) and the Saudi Standards, Metrology and Quality Organization (SASO).

- 3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature by both parties. All services shall be rendered in accordance with the scope defined herein and applicable Saudi Arabian federal and regional laws governing the oil and gas sector in Saudi Arabia Jeddah.
- 3.2 The Petroleum Engineer assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Petroleum Engineering from an accredited institution, possess a valid Saudi Council of Engineers (SCE) professional license, and demonstrate a minimum of ten (10) years of hands-on experience in upstream reservoir and production engineering within the Kingdom of Saudi Arabia.
- 3.3 The Supplier shall ensure that the Petroleum Engineer complies with all occupational health and safety (OHS) standards mandated by the Saudi Ministry of Human Resources and Social Development and the Buyer's internal HSE policies at all operational sites within Saudi Arabia Jeddah.
- 3.4 Payment terms: Net 45 days from the date of invoice submission and acceptance of deliverables. Invoices shall be submitted in Saudi Riyals (SAR) and must include the Supplier's VAT registration number. Payment shall be made via bank transfer to the account designated by the Supplier.
- 3.5 The Purchase Order is valid for a period of one (1) year from the date of issue, covering the engagement of the Petroleum Engineer for the full duration of the project phase in Saudi Arabia Jeddah. Renewal shall be subject to mutual written agreement.
- 3.6 All intellectual property, technical reports, reservoir models, and data generated by the Petroleum Engineer under this Purchase Order shall remain the exclusive property of the Buyer. The Supplier shall not disclose any proprietary information to third parties without prior written consent.
- 3.7 The Supplier is responsible for obtaining all necessary work permits, visas, and professional registrations required for the Petroleum Engineer to legally perform services in Saudi Arabia Jeddah. Any penalties or delays arising from non-compliance with Saudi immigration or labor regulations shall be borne solely by the Supplier.
- 3.8 Disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA) in Jeddah, Saudi Arabia Jeddah. The governing law shall be the laws of the Kingdom of Saudi Arabia.
- 3.9 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance KPIs, or non-compliance with Saudi regulatory requirements by the Petroleum Engineer.
- 3.10 Force majeure events, including but not limited to natural disasters, government sanctions, or civil unrest affecting Saudi Arabia Jeddah, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within five (5) business days.
