This Purchase Order is issued by Atlantic Basin Energy Solutions (Pty) Ltd to formally engage the services of a qualified Petroleum Engineer for the duration of the Atlantic Basin Offshore Reservoir Assessment Project. The Petroleum Engineer shall be based and shall render all professional services from the Cape Town, South Africa office premises located at 12 Marine Parade, Sea Point. The scope of work encompasses reservoir modelling, well performance analysis, production forecasting, and technical advisory support for the company's offshore operations in the South African Exclusive Economic Zone.
The Petroleum Engineer is required to hold a valid South African Council for Professional Engineers (SACE) registration, a minimum of ten (10) years of post-qualification experience in petroleum engineering, and demonstrated competency in reservoir simulation software including Eclipse, tNavigator, and Petrel. All deliverables must comply with the Petroleum Resources Management Act (PRMA) 29 of 2000 and the regulations promulgated thereunder, as applicable in South Africa.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the High Court of South Africa, Cape Town Division.
- Commencement Date: The Petroleum Engineer shall commence services on 1 July 2025 at the Cape Town, South Africa office. A formal induction and site orientation shall be conducted on the first working day.
- Duration: The engagement period for the Petroleum Engineer is five (5) months, commencing 1 July 2025 and concluding 30 November 2025, unless extended by mutual written agreement.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment for this Purchase Order shall be made within thirty (30) days of receipt of a valid tax invoice, via electronic funds transfer to the supplier's designated South African bank account.
- Intellectual Property: All work product, models, reports, and data generated by the Petroleum Engineer in the course of this Purchase Order shall be the sole property of Atlantic Basin Energy Solutions (Pty) Ltd.
- Confidentiality: The Petroleum Engineer shall maintain strict confidentiality regarding all proprietary data, reservoir information, and operational details encountered during the engagement in South Africa Cape Town and offshore locations.
- Compliance: The Petroleum Engineer shall comply with all applicable South African legislation, including the PRMA, the Occupational Health and Safety Act 85 of 1993, and the Broad-Based Black Economic Empowerment Act 53 of 2003.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Petroleum Engineer shall be compensated for all services rendered up to the effective date of termination.
- Insurance: The Petroleum Engineer shall maintain professional indemnity insurance with a minimum cover of R5,000,000.00, valid throughout the duration of this Purchase Order in South Africa.
All technical deliverables produced by the Petroleum Engineer shall be submitted to the Project Manager at Atlantic Basin Energy Solutions, Cape Town, South Africa, in both electronic (PDF and native file formats) and hard-copy form. Monthly progress reports shall be due by the fifth (5th) business day of the following month. A final comprehensive technical report shall be submitted within fourteen (14) days of the conclusion of the engagement period specified in this Purchase Order.
This Purchase Order is issued in accordance with the procurement policies of Atlantic Basin Energy Solutions (Pty) Ltd. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document relating to the engagement of the Petroleum Engineer in South Africa Cape Town.
