The Petroleum Engineer shall report directly to the Chief Technical Officer of Transvaal Energy Resources and shall operate primarily from the company's offices in South Africa Johannesburg, with occasional site visits to operational areas within a 150-kilometre radius of the Johannesburg metropolitan area.

All prices are quoted in South African Rand (ZAR) and are inclusive of all applicable levies unless otherwise stated. VAT is calculated at the current South African rate of 15%.

1. Acceptance: This Purchase Order shall be deemed accepted upon written confirmation by the Supplier within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
2. Commencement: The Petroleum Engineer services shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, subject to the terms outlined herein.
3. Payment Terms: Payment shall be made within thirty (30) days from the date of a valid tax invoice submitted by the Supplier. Invoices must reference this Purchase Order number (SA-JHB-PE-2025-04782) and be submitted to the accounts payable department at the South Africa Johannesburg office.
4. Performance Standards: The Petroleum Engineer shall adhere to all applicable South African health, safety, and environmental legislation, including the Mine Health and Safety Act 29 of 1996 and the National Environmental Management Act 107 of 1998. All deliverables must meet the technical specifications outlined in Annexure A attached to this Purchase Order.
5. Confidentiality: The Petroleum Engineer and the Supplier shall treat all proprietary data, reservoir information, and operational details of Transvaal Energy Resources as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa Johannesburg.
8. Compliance: The Supplier warrants that the Petroleum Engineer engaged under this Purchase Order is fully compliant with all ECSA registration requirements and holds valid professional indemnity insurance with a minimum cover of R 5,000,000.00.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in South Africa Johannesburg.
