Scope of Purchase Order

This Purchase Order is issued by Hanjin Energy Solutions Co., Ltd. to procure the professional services of a qualified Petroleum Engineer along with associated technical equipment and software licenses. All services and deliverables under this Purchase Order shall be performed and delivered within the metropolitan area of South Korea Seoul, in compliance with the Korean Ministry of Trade, Industry and Energy (MOTIE) regulations and the Korea Petroleum Association (KPA) standards. The Petroleum Engineer engaged under this agreement shall hold a valid Korean Professional Engineer (P.E.) license in the petroleum and energy sector and shall demonstrate a minimum of ten (10) years of experience in upstream and midstream petroleum operations.

Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Korea Commercial Arbitration Board (KCAB) in Seoul, South Korea.
  2. Payment Terms: Payment shall be made within thirty (30) days of invoice receipt. A 50% advance payment is due upon acceptance of this Purchase Order. The remaining 50% shall be paid in two equal installments at the completion of month three and month six of the Petroleum Engineer's engagement period. All payments shall be made in Korean Won (KRW) via bank transfer to the vendor's designated account in Seoul, South Korea.
  3. Performance Standards: The Petroleum Engineer shall adhere to all applicable Korean industrial safety standards (KOSHA), environmental regulations enforced by the Ministry of Environment in South Korea Seoul, and the technical specifications outlined in Annex A of this Purchase Order.
  4. Intellectual Property: All reports, models, data sets, and technical deliverables produced by the Petroleum Engineer under this Purchase Order shall be the exclusive property of Hanjin Energy Solutions Co., Ltd. The vendor shall not reuse, publish, or disclose any proprietary information obtained during the engagement in South Korea Seoul.
  5. Delivery & Acceptance: All physical equipment listed in this Purchase Order shall be delivered to the buyer's premises in Seoul, South Korea within fifteen (15) business days of the order date. Services shall commence no later than July 1, 2025. Acceptance of deliverables shall be confirmed in writing by the buyer's project manager within ten (10) business days of submission.
  6. Warranty & Support: All hardware and software procured under this Purchase Order carry a minimum twelve (12) month manufacturer warranty. The Petroleum Engineer shall provide ongoing technical support and be available for on-site consultations in South Korea Seoul during standard business hours (09:00–18:00 KST, Monday through Friday).
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall complete all in-progress deliverables and submit a final report to the buyer within fourteen (14) days. No further payment shall be due beyond the value of work completed and accepted.
  8. Compliance: The vendor and the Petroleum Engineer shall comply with all applicable Korean labor laws, tax obligations, and professional licensing requirements in South Korea Seoul. The vendor warrants that the Petroleum Engineer assigned to this Purchase Order holds all necessary certifications and is in good standing with the Korean Society of Petroleum Engineers (KSPE).
  9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in South Korea Seoul.
