All services under this Purchase Order shall commence no later than 1 July 2025 and be completed by 31 December 2025. The Petroleum Engineer and supporting team shall report to the Refinery & Energy Solutions S.L. facility in Spain Barcelona for on-site activities. Milestone deliverables are as follows: Reservoir characterization report due by 30 September 2025; Well integrity assessment due by 15 October 2025; EOR feasibility report due by 30 November 2025; Final consolidated report and data handover due by 31 December 2025. Any delay beyond the agreed schedule must be communicated in writing to the procurement department at least 10 business days in advance.

1. This Purchase Order is governed by the laws of the Kingdom of Spain. Any disputes arising from the execution of this Purchase Order shall be resolved by the competent courts of Barcelona, Spain.
2. The Petroleum Engineer engaged under this Purchase Order must hold a valid professional registration with the Colegio Oficial de Ingenieros Industriales de Cataluña and possess a minimum of ten (10) years of documented experience in offshore petroleum operations.
3. All work performed in the Spain Barcelona operational area must comply with the Spanish Hydrocarbons Law (Ley 34/1998), the Catalan regional environmental regulations, and applicable EU directives on offshore energy infrastructure.
4. Payment shall be made via bank transfer to the vendor's designated account within forty-five (45) calendar days from the date of receipt of a valid invoice, provided that all deliverables have been accepted in writing by the project manager.
5. The vendor shall maintain professional indemnity insurance with a minimum coverage of €2,000,000 for the duration of the contract and shall provide a certificate of insurance upon request.
6. Confidentiality: All subsurface data, reservoir models, and production figures generated under this Purchase Order are the exclusive property of Refinery & Energy Solutions S.L. The Petroleum Engineer shall not disclose, publish, or share such information with any third party without prior written consent.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or port closures affecting the Spain Barcelona industrial zone.
8. This Purchase Order may be amended only by mutual written agreement signed by both parties. Verbal modifications are not binding.
9. The vendor warrants that all deliverables shall be free from defects in workmanship and shall conform to the specifications outlined in Annex A (attached separately) of this Purchase Order.

By signing below, both parties acknowledge and accept the terms, conditions, scope of work, and pricing set forth in this Purchase Order for the engagement of the Petroleum Engineer services in Spain Barcelona.
