This Purchase Order is issued by Iberia Energy Solutions S.L. to formally request and authorize the engagement of a qualified Petroleum Engineer to provide specialized technical services at our operational facilities located in Spain Valencia. The scope of work encompasses the full spectrum of petroleum engineering activities required for the optimization, maintenance, and development of our onshore and nearshore hydrocarbon extraction and processing operations within the Valencia region.

The Petroleum Engineer engaged under this Purchase Order shall be responsible for, but not limited to, the following duties performed at the Spain Valencia site and associated field locations:

  1. This Purchase Order constitutes a binding agreement between Iberia Energy Solutions S.L. and GeoTech Professional Services S.A. for the provision of Petroleum Engineer services at the designated Spain Valencia operational site. Both parties acknowledge that this document supersedes all prior negotiations, quotations, and correspondence regarding the engagement of petroleum engineering expertise in the Valencia region.
  2. The Petroleum Engineer assigned to this contract must hold a minimum of a Master's degree in Petroleum Engineering or a closely related discipline, possess a valid professional registration with the Spanish College of Engineers (Colegio Oficial de Ingenieros), and demonstrate a minimum of eight (8) years of progressive experience in hydrocarbon production operations. The engineer must be legally authorized to practice petroleum engineering in Spain and specifically within the autonomous community of Valencia.
  3. All services described in this Purchase Order shall be performed at the buyer's facilities located in Spain Valencia, Polígono Industrial de Alboraya, unless otherwise agreed in writing. The Petroleum Engineer shall be required to be physically present at the Spain Valencia site a minimum of five (5) days per week, with availability for emergency call-outs as dictated by operational requirements.
  4. Payment shall be made via direct bank transfer (SEPA) to the account designated by GeoTech Professional Services S.A. Invoices must reference this Purchase Order number (PO-2025-VAL-0487) and shall be submitted on the last business day of each calendar month. Payment is due within thirty (30) calendar days of receipt of a valid invoice, in accordance with Spanish commercial law (Ley 3/2004 de lucha contra la morosidad).
  5. The Petroleum Engineer shall maintain full professional liability insurance with a minimum coverage of €2,000,000 per occurrence, as required for petroleum engineering activities in Spain. Certificates of insurance must be provided prior to the commencement of services at the Spain Valencia site.
  6. Confidentiality: All technical data, reservoir models, well logs, production figures, and proprietary information pertaining to Iberia Energy's operations in Spain Valencia shall be treated as strictly confidential. The Petroleum Engineer shall not disclose, reproduce, or transmit any such information to third parties without prior written consent from the buyer. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Petroleum Engineer shall complete all in-progress deliverables and provide a comprehensive handover report to the buyer's technical team in Spain Valencia within fifteen (15) days of the termination effective date.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Valencia, Spain, in accordance with the Spanish Civil Procedure Law (Ley de Enjuiciamiento Civil). Both parties agree to attempt mediation before initiating formal litigation.
  9. This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Kingdom of Spain, including all applicable regulations of the Generalitat Valenciana pertaining to industrial and petroleum operations in the Spain Valencia region.

By signing below, both parties confirm their acceptance of this Purchase Order for the engagement of a Petroleum Engineer to perform the services described herein at the Spain Valencia operational site. This document is executed in two (2) original copies, one for each party.
