This Purchase Order is issued by Alpine Energy Solutions AG, headquartered in Switzerland Zurich, to formally procure the professional services of a qualified Petroleum Engineer through the supplier Helvetia Petroleum Consulting GmbH. The engagement is intended to support the company’s ongoing subsurface evaluation, reservoir modelling, and production optimization programs conducted from our principal office in Switzerland Zurich. - Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the Swiss Code of Obligations (OR) and applicable federal and cantonal laws of Switzerland Zurich. Any disputes arising from this Purchase Order shall be resolved by the competent courts of the Canton of Zurich, Switzerland.
- Professional Qualifications: The Petroleum Engineer engaged under this Purchase Order must hold a minimum of a Master’s degree in Petroleum Engineering or a closely related discipline, possess a valid Swiss professional license where applicable, and demonstrate a minimum of ten (10) years of progressive experience in reservoir engineering and subsurface operations.
- Work Location: All services under this Purchase Order shall be performed primarily at the Alpine Energy Solutions AG office located in Switzerland Zurich. Remote work may be permitted for up to two (2) days per week subject to prior written approval by the project manager.
- Confidentiality: The Petroleum Engineer and the supplier shall maintain strict confidentiality regarding all proprietary data, reservoir models, and commercial information accessed during the engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made in Swiss Francs (CHF) via bank transfer to the account designated by Helvetia Petroleum Consulting GmbH within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the Swiss statutory rate.
- Termination: Either party may terminate this Purchase Order with a written notice of ninety (90) days. In the event of material breach by the Petroleum Engineer or the supplier, the non-breaching party may terminate with thirty (30) days’ notice. Upon termination, all work-in-progress deliverables shall be completed and handed over to Alpine Energy Solutions AG in Switzerland Zurich.
- Insurance & Liability: The supplier shall maintain professional indemnity insurance with a minimum coverage of CHF 5,000,000 and public liability insurance of CHF 3,000,000 for the duration of this Purchase Order. The Petroleum Engineer shall be covered under the supplier’s occupational accident insurance as required by Swiss law.
- Intellectual Property: All reports, models, data sets, and technical documentation produced by the Petroleum Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of Alpine Energy Solutions AG, Switzerland Zurich, upon full payment.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, war, pandemic, or government regulatory changes affecting the energy sector in Switzerland.
- Anti-Corruption: The supplier and the Petroleum Engineer warrant compliance with all applicable Swiss anti-corruption legislation, including the Federal Act against Bribery in International Business Relations, and shall not engage in any corrupt practice in connection with this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Petroleum Engineer in Switzerland Zurich. This document constitutes a binding procurement instrument upon execution by both authorized representatives.
