This Purchase Order is issued by Chulalongkorn Energy Solutions Co., Ltd. to engage the services of a qualified Petroleum Engineer through Siam Petroleum Engineering Consultants Ltd. for the duration of the project. The Petroleum Engineer shall provide specialized technical support for reservoir characterization, well performance analysis, and production optimization across the Thailand Bangkok operational base and associated offshore field sites in the Gulf of Thailand. All deliverables must comply with the Royal Thai Government's Department of Mineral Resources (DMR) regulations and the standards set forth by the Petroleum Authority of Thailand (PTT).

Terms and Conditions
- This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through arbitration in Thailand Bangkok in accordance with the rules of the Thai Arbitration Institute.
- The Petroleum Engineer assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Petroleum Engineering from an accredited institution and possess at least eight (8) years of relevant experience in onshore and offshore reservoir operations in Southeast Asia.
- All work performed by the Petroleum Engineer shall be conducted in compliance with the Petroleum Act B.E. 2550 (2007) of Thailand and all applicable environmental regulations enforced by the Pollution Control Department, Thailand Bangkok.
- The supplier shall provide a replacement Petroleum Engineer of equivalent or superior qualifications within fourteen (14) calendar days should the originally assigned engineer become unavailable, with prior written approval from the buyer.
- Payment shall be processed in Thai Baht (THB) via bank transfer to the account specified above. Invoices must be submitted monthly by the 5th business day and must reference this Purchase Order number (PO-2025-BKK-0472).
- The Petroleum Engineer shall maintain strict confidentiality of all proprietary reservoir data, well logs, and production figures. A Non-Disclosure Agreement (NDA) executed prior to commencement is a condition precedent to this Purchase Order.
- All deliverables, including simulation models, technical reports, and data sets produced by the Petroleum Engineer, shall become the exclusive property of Chulalongkorn Energy Solutions Co., Ltd. upon full payment.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for services rendered up to the effective date of termination.
- The supplier is responsible for all work permits, visa extensions, and occupational health and safety certifications required for the Petroleum Engineer to operate legally within Thailand Bangkok and at offshore field locations.
- Force majeure events, including but not limited to natural disasters affecting the Thailand Bangkok region, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within five (5) business days.
