This Purchase Order is issued by Anadolu Energy Solutions A.Ş. to formally engage the services of a qualified Petroleum Engineer for the duration of the Karadeniz Basin Exploration Project, to be conducted in and around the Turkey Ankara metropolitan area and its surrounding geological survey zones. The Petroleum Engineer shall be responsible for reservoir modeling, wellbore trajectory analysis, production optimization, and subsurface data interpretation in full compliance with the regulations set forth by the Turkish Ministry of Energy and Natural Resources (T.C. Enerji ve Tabii Kaynaklar Bakanlığı).
The selected Petroleum Engineer must hold a minimum of ten (10) years of professional experience in onshore and offshore petroleum operations, possess a valid professional engineering license (Mühendislik Sicil Belgesi) issued by the Chamber of Engineers of Turkey (TMMOB), and demonstrate proven expertise in sedimentary basin analysis relevant to the geological formations found in the Turkey Ankara region.

- Scope of Work: The Petroleum Engineer engaged under this Purchase Order shall perform all duties as outlined in the attached Statement of Work (SOW-2025-TR-0487-A). All fieldwork, laboratory analysis, and reporting activities shall be conducted primarily in Turkey Ankara, with occasional travel to peripheral survey sites within Ankara Province as directed by the project manager.
- Contract Duration: This Purchase Order is valid for a period of six (6) months commencing on 01 August 2025 and expiring on 31 January 2026, unless extended in writing by mutual agreement of both parties.
- Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice from the vendor. All payments shall be processed in Turkish Lira (TRY) via bank transfer to the account designated by Meridian Petroleum Consulting Ltd. in Turkey Ankara.
- Compliance: The Petroleum Engineer shall adhere to all applicable Turkish labor laws, occupational health and safety regulations (İş Sağlığı ve Güvenliği Kanunu), and environmental protection statutes enforced by the Ministry of Environment, Urbanization and Climate Change. All work performed in Turkey Ankara must comply with local municipal permits and zoning requirements.
- Confidentiality: All subsurface data, reservoir models, well logs, and proprietary information generated during the course of this Purchase Order shall remain the exclusive property of Anadolu Energy Solutions A.Ş. The Petroleum Engineer is bound by a Non-Disclosure Agreement (NDA) for a period of five (5) years following the termination of this engagement.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all services rendered up to the effective date of termination, less any applicable deductions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising hereunder shall be resolved by the competent courts in Turkey Ankara.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Turkey Ankara.
