This Purchase Order is issued to procure the professional services of a qualified Petroleum Engineer to support the Buyer's upstream exploration and production operations in the United Arab Emirates Dubai region. The Petroleum Engineer shall provide comprehensive technical oversight, reservoir analysis, well optimization, and production forecasting services as detailed below.

All payments under this Purchase Order shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the Supplier's designated corporate account in Dubai. Invoices shall be submitted on the last working day of each calendar month. Payment shall be processed within thirty (30) calendar days from the date of receipt of a valid, tax-compliant invoice. Late payments shall attract a penalty of 1.5% per month as per UAE commercial law. The Supplier must include the VAT registration number and applicable tax codes on all invoices issued under this Purchase Order.

  1. This Purchase Order is governed by the laws of the United Arab Emirates and the specific regulations of the Dubai jurisdiction. Any disputes arising from this Purchase Order shall be resolved through the Dubai International Financial Centre (DIFC) Courts or, at the Buyer's discretion, through arbitration under the DIFC-LCIA Arbitration Rules.
  2. The Petroleum Engineer(s) assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Petroleum Engineering from an accredited institution, possess a valid UAE professional license, and demonstrate a minimum of ten (10) years of relevant industry experience in the Gulf region.
  3. The Supplier shall ensure that all Petroleum Engineer personnel are in full compliance with UAE labor law, hold valid residence visas, and maintain comprehensive professional indemnity insurance with a minimum coverage of AED 5,000,000.
  4. All work performed under this Purchase Order shall adhere to the UAE National Standard (UAE.S), the International Organization for Standardization (ISO) 9001:2015, and applicable HSE standards as mandated by the Dubai Municipality and the UAE Ministry of Energy.
  5. The Buyer reserves the right to audit the Supplier's records, financials, and operational compliance at any reasonable notice. The Supplier shall maintain all project documentation, data, and intellectual property generated under this Purchase Order for a minimum of seven (7) years following project completion.
  6. Confidentiality: All technical data, reservoir information, well logs, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential. The Supplier shall not disclose any such information to third parties without prior written consent from the Buyer.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall be compensated for all services rendered up to the effective date of termination.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or acts of war, provided that the affected party notifies the other within five (5) business days.
  9. The Supplier shall comply with all anti-bribery and anti-corruption laws applicable in the United Arab Emirates Dubai, including the UAE Federal Decree-Law No. 3 of 2016 on Combating Money Laundering.
  10. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Petroleum Engineer services in the United Arab Emirates Dubai. This Purchase Order becomes effective upon the signature of both authorized representatives.
